CTC you have it backwards. The board cannot exercise options unless all material and insider information has been released, otherwise it's classed as "Insider trading", this is clear and doesn't need to be discussed any further.
If the board DO NOT exercise the options, then this would only be viewed as a positive, as it would mean they DO HAVE insider information that they cannot release just yet, and therefore cannot take up the options.
The only negative is if they DO TAKE the options and DO NOT release information, this would suggest something negative in terms of a deal.
