We also have institutional investors such as Standard life. I haven't seen any large sales, so what are these guys likely to do. Presumably vote against and hold?

Take many of your points on board, however, what is stopping the majority shareholders awarding themselves shares and diluting us to oblivion? I am only asking for opinion, as I have no idea what will happen in practice.

According to the website (which may have changed) the Bod own just over 40% so they have a long way to go. Two II's own 8%. Is there anywhere on public record, where we can get the current ownership detail over the reporting threshold ?

Yes it is a complete mess, but in no way should th Bod be able to fleece shareholders in this way.

Can we collectively stop this as they need 75% of the vote. I guess we need to understand how many we own and decide if we hold and vote against the de-list. Does anyone have any suggestions how we can do this? I have 10k shares.

They obviously have big plans here, presumably to take this to market alone? Unfortunately this looks like another huge dilution withe the concurrent European placement at the same time as Nasdaq.

I have been in XBIO for years like this one and it's been a painful ride. They went from Aim to Otc market then uplisted to Nasdaq. It took months to get to Nasdaq from OTC and they dot every I and cross every T having strict enlistment criteria. I am not concerned at all about how long this is taking, but I am concerned about the likely dilution. However, good investors and a lot of money backing this, so happy to continue to hold.

I have never had any problem buying or selling on Aim. However, I am confident that this will come good but I really don't want to just break even after 10 years! For a number of years now, they have mention US hospital and post hospital maintenance care as their initial target. I would not be surprised if they take this market themselves, certainly the nebuliser option. If so, this is why money raising is no problem. I have a feeling that the market is already waiting but we need to meet the final requirements in terms of clinical and geographical elements, which have led and will attract the finance. Just my opinion guys, but all trials have met requirements and raising money seems to be easy. Already de-risked. To date they have obviously not been offered the right deal, hence do it yourself.

Ref new public offering, it will be huge dilution, however, as I read the circular I don't quite agree with the numbers. Tell me if I am wrong. They are not looking to raise £108m, the figure was theoretical based on the details given. They can only offer 65m shares as approved at the AGM. The ultimate offer price and exchange rate remain to be seen. All of this was published and should not be a surprise. It also states that the offering will be primarily aimed at new II's and may also be offered to some existing ones, so for sure, they will not be paying more than the last raise. I don't see any notable news coming before this happens, so for those of us who have the funds and the faith, make hay whilst the price is dropped. These big boys wouldn't have backed this for nothing, so I think the action will start post Nasdaq.

Spot on. There is absolutely nothing to be read into this at the moment. The SP would have been played the same way with or without consolidation. We know further dilution is coming and I am sure it will be at an equivalent value to the last one, which will more than double the shares in issue. However, as Thelix has mentioned many times, it will still be worth many more times this value if successful. The latest high caliber investors would not have backed this with this level of investment if it had not already been seriously de-risked. More patience my friends. 2018 will be the year.
