Yup, it means that they want to buy back shares off shareholders off market rather than through on market buy backs... So what they will do is determine a price and add a bit on as a sweetener... They will then go out to shareholders and ask them if they would be willing to take this price for their shares... Normally the ones who hang on to their shares are the winners as the tender offer will be offering a premium and will also be taking shares out of circulation (if they cancel of course)...
