I have been looking on and off. I have concluded, and in view of what Mr. Day has said, that the new entity listed under the Australian Corporation Act to facilitate the cross listing and enable Ggp shares to trade on ASX as well as Aim will have to comply with the 20 cent rule.

I come to that on reading different things, such as RTO’s for junior miners, where waivers are granted for them to come to market by the back door route and do lesser consolidation than might otherwise be required.

It seems Mr. Day is discounting anything other than a general Asx listing, and is looking to comply as though it were a first public listing.

So mine is a conclusion by default on the basis that if 20 cent waivers are required for already listed Asx companies, the 20 cent rule will have to be followed for new Asx listings.

Quite honestly, I gave up, and just stick this on as thoughts.

I think it probably comes from what is on page 6 of this, which I think actually relates to IPOs and the associated raise on first share issue.

I put that on the basis that you are referring to information and work towards the August anticipated MRE. I think it fair to say that Newmont would have an interest in that, and that it would be part of information it would be useful for Newcrest to disclose - and taking into account what I understand has already been mentioned by way of expectation at Town Hall Meetings by Mr. Day. But I did not attend and can be put right on the extent of those expectations, and what they’re based on.

I would expect both parties to be signing NDA’s as part of the due diligence process, especially in respect of any market sensitive unreleased information.

Confidential information is any information that is defined as such by the party concerned. The seller has an interest in including in the definition all information, regardless of type and form (written, oral, electronic), that is disclosed at all stages of the M&A transaction; also information that has been incorporated into documents by advisors (such as due diligence and board reports) should be made part of an NDA.

Newmont buy Newcrest. Hav included under JV ( presumed ) Knowing MRE will up value, and project nearing production. Deal announced /vote, and MRE to follow, August. Newmont benefit ( along with Ggp ) Newmont may reserve right to make DTM, be seen to do so. Sort themselves out, new board, and then make decisions on acquisitions/disposals, after completion date - I think it may be pushing it to complete before August.

My story, nobody else’s.

You can see what might be Newmont’s view on Hav. Do the deal, and we don’t really care when MRE published, value will up, and we might want to be seen to make the decision on DTM.

When we’ve sorted ourselves out, we can look at it again.

Newmont will have gone into it, and a valuation on that aspect agreed. They will know it’s nearing production. Possibly suits them just fine if Newcrest gave them a bit of a ‘sprat.’ And in August Newmont expect an updated MRE.

The view might be taken the longer it goes on and expenditure made towards production, resource improving, the greater the value of the project, to Ggp and at the moment Ncm.

I would anticipate some reshuffling and I think perhaps changes to the board to better represent the enlarged company in due course. So it’s possible they’ll feel inclined to get their in-house duck in a row first, so they can go forward together.

Thinking ahead, I can imagine Ggp would at least be considering timing the Australian listing to coincide with any Ggp acquisition intent, to make the possible release of new shares more effective - if things pan out that way.

By that time, MRE etc. may be out there.

Newcrest must be pretty much there, to talk in terms of recommending a deal. But after announcement, you have the voting, and all the legal stuff on any subsidiaries leading to completion, and whatnot.Don’t see the need for a rush on other matters, as far as Newmont is concerned.

As I said before, there’s Newcrest’s due diligence the other way too, in a part-stock deal. We don’t know where they’re at with that.

Freddie. They’ll do what suits, and so far seems to suit both. Will they turn down an acceptable offer in hope of a better one? Don’t know, might depend on how much better it is. Like selling your house.

But I think any outcome on Newcrest goes no further than underlining existing speculation - whatever that might do or not to the sp.

Newcrest have a buyer, and are prepared to recommend the terms. They may/will want to keep it that way.

But what difference will a deal between Newcrest and another make to Ggp, beyond existing well-documented speculation in pretty much all respects?

The views of different outcomes are probably factored in for Newcrest/Newmont.

What are investors to make of publication of an outcome relative to Ggp?
