Wolf, on the issue of being locked-in, it was a view I was expressing about that scenario. I don't know the situation for sure. But I've erred on the side of not expecting to see us being able capitalise immediately. However, I do believe definitive Circum news would have a very strong effect on the PREM Sp, and Circum's eventual IPO would have an even more significant affect. Regardless of whether we can access that capital immediately, a share price rise for PREM (in its new form, as the vehicle for its Circum stake), would be a massive boost for most genuine holders.

The investment case here is finally to look a little better.

Look chippy, it should go without saying that GR has diluted this stuck to kingdom come.

I was in here from days of 600million shares and opposed his buying things when we didn't have the means or the foundations to. He's made serious errors of judgement, the biggest one perhaps not listening to shareholders.

But recent events, anything from KDNC not working out to RHA still left to sort by Zim authorities were never in his hands to conclude. However, Newco present a great opportunity. From these levels, the upside is significant. Newco will unlock value and Circum will mature in due course. Yes, we need more details and may take long than some prefer. But I'm generally supportive of the Newco proposal. Real potential to turn things around.

Wolf, fair comment. I'm guessing that what GR was alluding to is that news of Circum IPO - ie.e. a defintive de facto date and the host of other details we've been waiting for - may have a beneficial affect on the PREM SP. If the SP rises sufficiently enough, it may be worth looking at raising that money via equity in PREM.

That was my impression from the Webinar. We know there is a lock in period at Circum. So couldn't sell in time to raise funds that way.

As I said, it is a door worth keeping open as it potentially enables us to keep a bigger proportion of the Newco and therefore keep the highest possible exposure to those assets as they are developed and value unlocked.

But as was stressed, PREM not looking to raise any of that money unless there was a material change to the SP. By the time of the approaching IPO, Circum news may be out, so rightly that doors being left open.

The idea that you dilute at IPO - and that unlocking value that's currently being suppressed is also dilution, is beyond words.

The only dilution that can happen is if we try to raise any of that $6million ourselves. But as it is, we are proposed to get between 50% and 60% without having to couph up any of that $6million.

" Premier has agreed binding conditional heads of terms to acquire the assets of KME ("KME Assets") for an initial consideration of US$4 million, to be satisfied by the issue to KME of new shares in Newco representing approximately 20% of Newco's then enlarged issued share capital..."

We are not paying them $4million for the equipment. They are being paid shares - to that value - at the point of the creation and IPO of the new company. The deal at this stage places an indicative value of $20 million on Newco, which starts the process of increasing value for PREM holders.

You're so unhappy and miserable chippy, you should sell and move on. This can't be good for your gastric problems.

Steward1, great post. Folks have a right to remain frustrated and careful but this plan is genuine, one that can unlock the value of the assets within the portfolio. Newco will also relieve shareholders of GR, the most important thing, it's been claimed by his many detractors, for unlocking value and building trust. So it's quite strange that some are now opposing Newco - like they don't want anything good to happen here.

The value of Newco will be set through the arrangement of the creation of the company and IPO. That stands to very quickly increase the value of the assets/projects, compared to their suppression of that value under PREM and PREMs current market cap. No dilution in my book, none whatsoever.

We're back at a point where folks are wanting the all the detail out now otherwise there's something inherently wrong with the entire process.
