It's been the major shareholders aim to delist the shares for the last decade, they've been playing a long game.

They will only be missing an immediate material gain if they intend to sell their shares. They have shown no desire to sell so they are not missing any material gain.

The listing is only really needed for the company to raise funds. They will loan the company any money needed and get a great return on any loans made.

After delisting, we will all still own shares in the company. They will just be a little more difficult to sell if we want to sell them. If you don't want to sell them and hold them for the dividends then you are losing nothing.

There were only 275m shares in issue when the 13p offer was made. That valued the company at approx £35m.

Lee - You have failed to appreciate that the debt is owned by the major shareholders and it is they who will be swapping some of the debt for equity. There was no mention of an open offer at all.

If the D4E results in the major shareholders then owning at least 75% of the shares in issue then, as they have stated, they will take the company off AIM so the share price then becomes irrelevant.

shaml89 - They made an offer back in 2010 and intended to take that shares off AIM if they got to 75% ownership.

They only owned 44% back then.

shaml89 - The major shareholders own 65.81% of the shares. That percentage will increase with their shares gained from the D4E swap. The remaining 34.19% of shares will be diluted.

It will depend on how the shareholders vote. If they need 75% to approve then it could be tight with Baker Steel going with the major shareholders.

They made an offer for the outstanding shares many years ago which valued the company at around £35m iirc.

How much debt/equity is the question? At these levels we'd be looking at serious dilution to our holdings.

The longer DB can delay this the better it would as it would give a longer time for the SP to recover to a more sensible level.

It doesn't really matter if you are a LTH looking to hold onto your shares. Nothing in the next RNS will make you want to sell.

In 5 years time the SP will be a multiple of today's.

Don't worry too much about feeding the SIPP Roy. If you are already retired it loses it's appetite and can't eat very much.

@Rakes - Or they could have offered to buy the shares when they were at 0.3 last year and it would have cost them a lot less than waiting until now for the share price to stagnate up to 1.70.

H50 - Is that how you would do it? Buy out the bank debt for millions which helps to drive the SP up and then buy out the rest of the shares. Sheer genius!!

The SP has risen steadily from 0.65 at the end of August 2019 to 1.60 at the end of January 2020 in expectation of this refinancing outcome.

The company still has debt to repay, just maybe not as much as it was thought a few months ago.

As the company slowly turns itself around the market is responding in a similar fashion.
