The Candys could have bought the company for a lot less at the time that the debt was restructured than they would have to offer now so I just don't see it happening.

Lee - The 13p offer was made when there were only 270k shares in issue, valuing MTL at £35.76m, a 26% premium at the time. An outlay of £20m for the outstanding shares, share options and warrants.

9 years later with 2b shares in issue and the SP at 0.45p MTL was valued at £9m. The Candy brothers could have made the same offer again, with an offer of 1.788p, valuing MTL at £36.76m, at that time a 397% premium. An outlay of £12.8m for the outstanding shares. I think most shareholders would have accepted that at that time and probably less.

Instead, they bought the outstanding $72m debt for a lot more than £12.8m.

I don't know of any successful business people / investors who would knowingly help increase the value of a company by 1300% before making a bid for the company. The remaining 44% of outstanding shares are currently worth £48m at 0% premium. Any offer would have to be well north of 13p per share as that is achievable within the next 9 months if the Abra prospect gives us an estimated mineral resource similar to the initial Runruno mine.

When the Abra tenement assets are JORC'd after the exploration drilling and results have been studied then the value of the assets can be calculated and potential shareholders can then make their decision on whether to invest or not.

Technically it was Q2 2024 when she purchased her first two tranches (April 23rd and June 20th) which we knew from the RNS's released.

There was a dispute over the final debt repayments.

All resolved now.

According to posts made at the time, Dimrod22 sold out of MTL on 4th June 2024 (3.65p) after first buying in on 22nd December 2023 (2.6p) with an additional purchase on 10th May 2024 (4.277p).

It looks like their angle maybe attention seeking.

In the time that Darren Bowden has been the CEO at MTL the gold price has risen about 75% whilst the SP of MTL has risen by over 1000% yet you are trying to tell us that we should no longer be invested here.

So you sold out just before the SP is about to embark on the next leg of it's journey upwards, that's fine.

To keep telling us here how you were right to do that and the remaining shareholders are wrong to continue to hold and buy is making you look like the other clowns (Jennifer), who has been posting about gold sliding whilst it continues to climb, and (Tygra), who has been warning people off buying shares here by spreading their lies from the 0.85 SP days all the way up to the current SP.

This was her third tranche. Her first tranche was less than 3% so there was no need for a TR-1.

I said at the time of the first tranche that someone seriously wants in but obviously the naysayers were all trying to convince people on here that the large sells being listed was Candy selling. Even when it was pointed out to them that the volumes traded didn't match they persisted in spreading their lies. Even when it was pointed out to them that it was an off market private deal they persisted in spreading their lies.

Darren Bowden has pulled off a masterstoke by releasing yesterday's RNS. He has killed that pernicious lie outright by detailing the trade itself. He has out trolled the trolls. 100m shares at 6p each, executed on 8th October 2024. An off market deal, just like the RHL share buy back tranches.

Oh dear, it's even dearer for Tygra to get his buy in now.

So a remuneration package from almost 5 years ago is stopping you from investing in a company. Thank you for letting us know. We will all sleep better now.

The shareholders here have voted to accept his appointment and remuneration at each AGM and those shareholders that have voted in all AGMs have seen their shareholding, from the date of his appointment, increase by over 1000% in value.

Mr Bowden is one of the world's leading mining experts and his remuneration is very good value for money for the performance he has achieved. There is an old saying that comes to mind, "Pay peanuts and you get monkeys".

Solow has made a few contradictory statements.

That's a very good plan.

Hmmm, "way back"? Not very clear exactly when. Pre Darren Bowden's appointment could be "way back" but the company wasn't well run then, in fact it was going bust. So post Darren Bowden's appointment but "way back" must be when he first arrived and started to turn the company around and started doing Investor presentation interviews. If that is the case then their small percent here could be up to 1000% higher in value currently.

They would like to be tempted to buy more?? Their small percent could now possibly be 10x higher. The company is now debt free and the free cash flow generated by the remaining gold is going to be banked to strengthen the balance sheet and will be used to grow the company and provide the long term existence of the company. This does not include paying any near term dividends. This will drive the SP higher as the company grows. Great news, their small percent is going to grow even more.

Only seems to be well run!! It must be well run otherwise they would not have a small percent here.

The shareholders do not run the company. The vast majority of the shareholders are not mining experts, have no experience of running a mine, etc. If you are unhappy with the BoD you can vote them off at the AGM or you can bank your gains and walk away. They are your options. There SP is reaching 7 year highs so it is not what could be described as "so low".

"The CEO, however good he is, works for the shareholders and he needs to be held to account."

If you're not happy with 10x gains to the SP since his appointment then vote against his reappointment at the next AGM. Somebody has each year. It seems you just can't please some people.

All the money from the last 4 years has been spent on mining, clearing the debt and most recently buying back the shares from RHL and acquiring the Abra tenement area.

This has all been communicated by MTL quite clearly via regular RNS releases, quarterly updates and investor presentations. This information can all be found on the company's website.

Future free flow cash is going to be banked to build up a cash reserve that will be used to financially strengthen and grow the company. This rules out any near term dividend payments. Future acquisitions will not be divluged until the BoD have completed their due diligence. Shareholders will then be informed and asked to vote on any proposals.

Since the CEO was appointed the SP has risen from 0.5p to currently around the 5p level. Just from that one perspective, that is one heck of a job that he has done for the shareholders. He accomplished this by turning the loss making mine around is a very short space of time to get the enormous amount of debt, that the previous CEO had built up, paid off so that the remaining gold can be used to ensure the long term viability of the company.

That is the plan that the CEO and the BOD have in place and the vast majority of shareholders voted to follow that place at the recent AGM and EGM. If you're not happy with that plan, you have an option that you can take. Bank your gains and walk away.

Gold-Miner - a) Take the information from the Proposed Buy Back of RHL Shares RNS published on 20th June 2024 along with the information from the Quarterly Update to 30th June 2024 published on 19th July 2024.

The answer will be approx 182,500oz of gold forecast remaining at 1st July 24. Take the information from the Quarterly Update to 30th September published in a few weeks time to calculate the then current situation.

b) For the posters wanting more PR, how did you find MTL? You are here so whatever PR has been utilised so far has clearly worked. The annual investor presentation / video interview recaps past successes and signposts future plans for the near term. RNS's present immediate information that affects the company. Additional PR does not help to get gold out of the ground or find additional gold. To much PR could keep people away as it could be misinterpreted that the company is trying to drive the SP up ahead of a cash raise.

When the results from the exploratory drilling in the Abra tenement are published only then can a detailed plan for the development of a mine and mining schedule be formulated along with a more detailed plan on where future revenues will be coming from. Until then we will just have to wait patiently for the forthcoming work to be completed.

Wrong again Hazbeen. There are 2.1b shares issued and MTL will own 18% of the shares issued. They will be held in treasury so are not used for calculating the the market cap.

Some people don't like a quiet forum it would seem.
