the board of directors of polymetal internationa announced the completion of the ************** offer, which was announced on september 22, 2022 and approved by shareholders at the general meeting on october 12, 2022.

in addition to the 39,070,838 shares of common stock exchanged in the first tranche of the exchange offer on december 9, 2022, an additional 2,543,840 shares of common stock were repurchased by the company in the second tranche. a total of 41,614,678 ordinary shares were repurchased. polymetal intends to cancel these shares.

however, such cancellation is subject to the relaxation of restrictions on the nsd and until the restrictions are relaxed, the shares exchanged will remain in the company's treasury account and will not be available for reissue.

after the second round of repurchase, the company's total voting rights are 473,645,141 common shares, par value $0.03, each with one vote.
