I know nothing about contract law or whatever law might apply in this case but I would be very concerned that the people who agreed to that one have not got their lawyers going over it with a fine tooth comb in order to determine whether recent events have an impact on their expectation of recovery and indeed requirements to fulfil it.

I, again knowing nothing, would be bothered that they might pull the plug.

Naturally the experts on this board and no doubt elsewhere will know I know nothing but...

The document stresses that the loan is set against Wyld Stock held in Escrow with repayment over time reliant on issuance of "New Ordinary Shares". Unless they manage to get the cash from elsewhere. Otherwise if they fail in those commitments it would appear they are forced to sell their shares in Wyld and hand the cash over to the lendor....

It would appear that vote means the company is unable to issue "New Ordinary Shares", i.e. Allot Securities and therefore is not in a position to settle the previously announced funding-facility unless they sell off Wyld.

Still I suppose that since the company is fully funded having Pawned its holding in Wyld and Sisto going would have been factored into expectations that only leaves the inability to issue more shares in order to raise cash which, as per Wyld, they have already done. Might still leave a hole if one of the portfolio companies need to suckle on a breast.

There is the caveat that this current distribution network, specifically with reference to ships, may only be reporting when it is docked and therefore has land based access to communications but if the ships out of port or other parts of that distribution network are outside of land based communications then that might point to a collaboration or synergy with Wyld.
