Update on the potential modification of its asset holding structure

Polymetal International plc (Polymetal or the Company) reports on progress in its efforts to de-risk on-going operations.

As announced earlier this year, the Company has been considering a potential modification of its asset holding structure which would ensure distinct ownership in the various jurisdictions in which the Company operates. The Company today announces that it is evaluating the potential disposal of the Company’s assets located in the Russian Federation (the Russian Assets) (the Potential Transaction).

If completed, the Potential Transaction would result in the Company focusing primarily on its operations in Kazakhstan, which currently produce over 500 Koz of gold per year, with revenue in 2021 of US$ 984 million.

The primary objective of the Potential Transaction is to restore shareholder value by seeking to allow the market to appropriately value the Company’s Kazakhstani assets and de-risk its ongoing operations. The Company believes that the Potential Transaction would also increase the likelihood of the Company’s ability to re-enter all the relevant equity and sustainability indices and regain a significantly wider institutional audience. However, the evaluation of the Potential Transaction is ongoing and there can be no certainty that the Company will proceed with the Potential Transaction.

In order to evaluate the Potential Transaction, a Special Committee of the Board (the Committee) has been set up in accordance with the Company’s Articles of Association, comprising the Independent Non-Executive Directors of the Company. The Committee will review the Potential Transaction, acting at all times in the best interests of the Company, its shareholders and other stakeholders.

Appropriate advisers have been appointed in order to assist in respect of the Potential Transaction."

When can we expect the special committee at POLY reviewing split scenarios to report a set of recommended options? Middle or end of August?

Hitting the Russians where it hurts most, lol. Maybe do many a power of good to sober up and realise what is going on.

The main point here is in the quote, that companies, like POLY, are still in the process of selling up. The exodus has basically only just begun. If it had just been a war prosecuted on military terms, possibly the fantasists looking for the big post war restoration may have grounds for hope.

But a the war grinds on, looking at the sheer horror and absolute direct attacks and destruction of everything civilian, stories like this one are popping up all over the business pages where declarations are being made to leave entirely. Mothballed companies are also seeing a bleak longer term and the problem being associated with an increasingly toxic Russia and the talk of bailing altogether is stronger.

So POLY is doing what many others are doing. In fact so many are pulling and planning to pull out including all countries, that any company may find it almost impossible to function. Logistics, raw materials, component supply, skilled and unskilled labour supply. This just to maintain existing operations, let alone open new or complete new expansions. And this is before sanctions.
Remember, India as a state may not be applying western sanctions, but that does not mean Indian businesses themselves are not withdrawing from, buy from or refusing to supply too. Not so much to do with some grand ethical statement, but to do with the exponential decay in the ability to continue operations within Russia or have security of delivery or payment from Russia in a hard currency. How many Indonesian, Filipino, Nigerian, Brazilian, Chilan and all the rest of businesses are going to accept Rubles? Think about it. Would you? The international government level sanction regime is going to be less and less a significant factor versus business level withdrawal across all territories.

Another nail in the coffin for POLY operations in Russia. Get out now before there is nothing to salvage from selling the assets.

chique, the weaker side often started out the strongest of all and was depleted and then faced forces that came together as one, very much greater. Nazi Germany once had domination, didn't last long. And Ukraine has been holding out since 2014, is now being made stronger with support. Russia has turned out to be a clown's army and nothing at all like what it has pretended to be. Russia would be crushed in a matter of a couple of weeks if nato went in, and do not see China, or India or Brazil coming to help. Nato invading Russia now and placing the country under full occupation is about the only workable solution that would keep POLY together instead of splitting up.

This is very interesting talking about how Chinese investment to Russia drop to nil this year and China has been investing in Iraq and Saudi for oil. For those expecting China to bail out Russia, things might not be going that way at all. Indeed it looks like Russia is being sidelined. Another reason to get out of Russia before the internal economic and social collapse.

POLY should stick with Kaz only, the pope will back that up when he visits soon.

Most if not all have held shares that have been tanked thanks to idiot policies of our various glorious leaders. Those taking the hit from prewar levels with POLY to present levels, at last after the split there will still be a strong profitable Kaz operation that can be grown and expanded and pay dividends in the future. Some of us have been much worse off with investments over the years. You should never ever assume something paying out will do so forever. Anything can happen, and often does! This is how you learn and avoid such errors in the future, or try.

Time to accept the inevitable, top that glass to being half-full and move on.

And don't let the red mist of envy ruin your life. For those like me that bought post drop and are expecting a decent profit on selling out, you should be raising a glass of your vodka at us and wishing us well, not downing the bottle in anger. It is a game, some you win, some you lose.

Poland wants the vote method changed, which is somewhat different from pipsqueaks assertion. Some people see and read what they want to see and read, whatever the words are. It's called wishful thinking. What you will find is the real underlying issue is countries reducing energy imports but being prevented or pressured not to use local alternatives like coal. This is as much a fight over zero carbon as it is over cancelling Russian gas.

Your the point there, leaked documents, proves they are constantly being 'chewed out'. There are never ending investigations from all sides, official and unofficial which lead to what you describe and exposures which often leads to tightening of command and operational activities. Critically, with the Russian assault on Ukraine, there are no targets mixing amongst non-combatants nor people firing small arms at tanks, for the vast overwhelming indiscriminate attacks by Russia. There is absolutely no comparison no matter how hard you try. You can cite a catalogue of individual incidents over several decades from a wide set of situations from the west and roll them up into one incident, but that would still be orders of magnitude away from the daily attacks by Russia. And is always interesting how what the est/nato were responding to is never mentioned. It's like watching RT constantly trying to invent some sort of qualification for the Russian states blatant terrorist activities.

It seems some are convincing themselves that there is some sort of equality which the Russian massacre can be signed off against and thereby partitioned of to one side in a way that doesn't connect with things like business activities This is where many of you are making a major error of judgment. The state and all involved with it, the state of Russia, is seen as compliant because there is cooperation across the board with the action by not opposing it. The reality as reported is getting through to people in the Russian cities but they CHOSE to turn a blind eye by not opposing as they have been seen to do in the past. It is seen that crackdowns on not calling it a war for example are more of a convenience for Russians who can then say they were forced to support the murder and state terrorism. It appears to be less and less about a mad leader acting alone, and moe and more an action being wished for. Just like the germans allowing and supporting Hitler, we are seeing the same with Russians supporting Putin. It starts to explain why this has been able to happen.

Does the board of POLY support the war against Ukraine? Is that why some on here are so defensive of the war and all the atrocities? Is that defense in the name of POLY?

But outside Russia, it is less and less seen as a case of oppressed people not being able to protest, more a people compliant and quietly supporting now what is going on. Hence, that is abominable to any in the west and if POLY will not ultimately ditch all Russian connections, POLY will be ditched by the west, no listing, no credit rating, no insurance, no market. I think the board is well aware its best interests are to be completely out of Russia.

The fundamental bottom line is Russia invaded a neighbour and didn't just attack civilians in unfortunate miss targeting, it has deliberately aimed directly at citizens and their homes murdering little children in its wake.

Any business with assets in a country that does that will be tainted as being perceived to endorse the actions by virtue of continuing operations.

POLY must divest by whatever means possible all Russian assets. Stockholders prewar are going to have to accept the reality of the situation and take the hit in share value and future dividends. We've all been there at one time or another.

Continuing to fantasies that war end will result in everything just going back to as before including share price and divvies is just prolonging the anxiety and agony you are going through.

Denial, anger, bargaining, depression and acceptance. You have to get through it or else it will be more than your wealth that is damaged. DEAL WITH IT!
