They won't - don't worry ... all is in hand ...

-- BB -- (in IQAI pain)
Good morning,
Can anyone advise with AJ Bell issues please?
Trying to get information out of them for voting etc is painful!

In the Special Resolutions:
"The maximum price (exclusive of expenses) which may be paid for an Ordinary Share shall not be more than the higher of: (i) an amount equal to 105% of the average of the middle market quotations for an Ordinary Share (as derived from the LondonStock Exchange Daily Official List) for the five business days immediately preceding the date on which that Ordinary Share is contracted to be purchased and (ii) the amount stipulated by the Regulatory Technical Standard adopted by the European Commission pursuant to Article 5(6) of the Market Abuse Regulation (EU) No.
596/2014 ;
-- If I am wrong, please correct me.
-- Does this read that if the company goes private then they only have to pay a MAXIMUM of double the sp (105%) for the past 5 days of trading?
-- If so, then this is a rather odd line to stick in an AGM resolution?
-- BB --
Note the "may" get approval for PRV

Just from IQAI though ... he has his other companies that he milks

23. Prior year adjustment
The accounts have been restated in order to take out a loan to Mike Schmainda that had should have been written off when Imaging Biometrics was acquired.

I see that TB still takes his £100,000 a year.
-- BB --
OR
-- Great RNS - new money flows in
-- SP rises
-- BIG sells (what's going on?)
-- Bad RNS - fundraise etc
-- BoD buys up cheap stock after selling higher ...
Happens every year - twice on a Leap Year!
-- BB --
Tempting... wonder if they will let us in!!
-- BB --
But they will still need 75% of the voting stock for this to happen ...
Not sure IQAI BoD has this and will not unless price to take private is attactive - + 10p.
With the number of complaints being submitted to respective regulatory bodies (UK, USA and Channel Islands), going private maybe the only way out.
I still see IB being sold as the only way to placate PIs and indeed regulators.
-- BB --
X - they would need 75% of the company stock to take private. Looking at IQAI website, around 40% will have been taken by the family, broker etc. They will rely on 35% of PIs to vote with them. Leads on nicely to ..
Jimzi - when a company is being looked into from complaints etc, it is "flagged". I can only imagine that with the number of compliants in the UK and overseas that the authorities have received, anything it does now will attract a huge amount of regulatory scrutiny - hence not having a clean bill of health.
Even small things like collectively not answering emails from PIs counts!
-- BB --
Jimzi,
BoD is going to do what it's going to do ... it will need 75% of voting stock to take private ... and a clean bill of health ...
Um - at the moment, it has neither ...

When I see that Trek selling, I worry, as he has been the voice of reason on this Board for many.
It's funny as every time we post a message, there is an FCA message underneath the tab that reads "Posting inside information that is not public knowledge, or information that is false or misleading, may constitute market abuse. This could lead to an unlimited fine and up to seven years in prison. If you have any information, concerns or queries about market abuse - click here" ... I urge you to click ... and report those who complain about the low SP and then sell en masse to drop it even further and then buy at the bottom. Is that "market abuse"?
Yes - I can & have complained to the FCA, CIFO and SEC ... and I was not shocked to find that many, many other PIs had too ...
If anyone from other boards is reading this, you too can complain to the SEC about individual directors as all the companies have a common link ...
I have also messaged Peterhouse, TB and the BoD for information and it's no surprise to me that they don't reply ... but here's the rub, by FCA/SEC rules, they have to ... hmmm ...
I am FULLY expecting a positive RNS boosting the SP, another huge sell-off, followed by a fundraise or a CLN announcement.
I am in no doubt that IB is doing all the work it publishes. Their Officers have way too much to lose if the authorities came knocking ...
I have only one hope - that IB is sold and that the PIs in IQAI get some reward - even if its just "break even" money.
As I have written before, there is a cadre of PIs who are huge fans of TB - making money by predicting what he is going to do ... it's textbook stuff ...
Anyway - I really do believe that the authorities in the UK & US are abreast of our situation -- it's only a matter of time now ...
-- BB --
-- Good news RNS -- SP increases well - new PIs dragged in
-- Sell-off from "Above"
-- Bad news RNS - CLNs/Fundraise
-- SP drops
-- Above buys in
-- Above wins - PIs lose (again)
Don't worry, FCA, JFSC and most importantly SEC knows what is going on.
-- BB --
It used to be much, much higher howdlep ... i think the SP reached 20pps once (?) ... what was the value of IQ then?
Then the manipulation kicked in ... and here we are today ...
Once a company/BoD has been red-flagged no institution will touch it ...
I still see IB being sold off and IQ investors receiving a dividend.
Then run like the wind .... and don't look back.
-- BB --
"This would allow new money to come in again".
I agree/disagree.
No new "corporate" money would even touch this share/BoD. Maybe some excitable PIs who will be duped.
There are so many red flags on the BoD - it really is uninvestable by any bank/VC or any company with an ounce of intelligence.
I can imagine the FCA and now SEC (as the company has US presence) will be all over this share and its BoD.
Why do you think no enterprise money is invested into this company?
-- BB --
Expect a good news RNS soon.
SP rises.
Sell-off occurs.
Back to square one ...
-- BB --
Big sell-offs by TB et al are usually followed by a fundraise or CLN announcement at a lower price ...
Just look at the RNSs here and elsewhere ...
-- BB --
Dear All,
I have been trying - with no luck - to obtain email addresses for the two non-execs of IQ.
IQ and Peterhouse are strangely stonewalling me!
Can anyone help?
Thank You!
