Cannacord have bought at 117p (11.7p) through the S4 fundraise and circa 16p (160p) in the last couple of days via Derriston - I assume they see S4 as a good proposition for the future
The lock in arrangements reduce the free float considerably
The 10p I refer to is the Derriston IPO price in December 2016
Whether you buy in now it’s immaterial, all you have to do is consider if your buy in price represents what you consider to be fair value in S4 moving forward
You have to look at Derriston and S4 as a whole as they become one subject to voting on 28/9
None of the big players have sold out. Some have simply cashed in some profit on shares bought in the Dec 16 IPO but are also holding S4 - look at Nigel Wrays holding in S4 for example
Big is not always best and to make visible changes when you’re a behemoth like WPP takes time - SMS is now creating a more agile, digital group and the founders of MediaMonks are instrumental in creating the S4 collaborative vision and strategy
SMS has attracted big funding with the promise of more and I have no reason to doubt that clients will move across to S4
I suspect the fundraise price of 117p won’t hang around for long post 28/9
Everyone has to make their own decision but I’m in
I’ve no idea what S4 will open up at on 28/9 however what I do know is that SMS is not planning to hang about therefore I think we are likely to receive news of other acquisitions fairly rapidly.
The lock in arrangements bode well and indicate that value is coming to those that wait
There is a lot of misunderstanding19 Sep 2018 08:25
here - some people need to read the prospectus etc before making incorrect statements particularly section B6 and understand the changes in issued share structure
Anyone concerned by early investors such as as Nigel Wray selling out of Derriston should take a look at section B6 of the prospectus
Remember from 28/9 Derriston becomes S4 subject to voting
Nigel Wray has actually increased his investment in S4
They’re just profiting on their initial 10p investment in Derriston at say 16p having bought into S4 at 117p which is 11.7p in Derriston pre 28/9
https://www.derristoncapital.co.uk/DERR-Prospectus.pdf
Some investors/institutions who bought Derriston in the Dec 16 placing paying 10p sold in the last couple of days profiting at say 18p but have participated in the S4 fundraise at 117p which is 11.7p in current Derriston money
Regardless, anyone buying now will make money imo in the long term as SMS is on the war path
Interesting to see what S4 opens at on 28/9, my guess is that further acquisitions are on their way and we will quickly breach 200p
TR1’s relate to Derriston NOT S418 Sep 2018 07:40
Some heavy weight investors reorganising their holdings in Derriston but look at what they’ve subscribed for in the new vehicle S4 Capital - read B.6 in the prospectus
Derriston effectively becomes S4 on 28/9 with MCAP circa £300m following MediaMonks acquisition
S4 shares issued/funds raised at 117p (11.7p in current money)
Derriston IPO was 10p December 2016
Important to read across and view the holdings separately
