I thoroughly agree with you, Jimtheknow, about Resolution 3.
I can't see Simon Potter retiring unless BPC is successful IMHO
The Proxy form is second down on that list:

For those of you who are trying to vote: you need to click on here, download the proxy form, fill it in and scan it back to your stockbroker.
You'll notice that one of the votes is for electronic communication to be the norm from now on.
PLEASE SPREAD THIS ON OTHER BOARDS so that holders can vote of they want to.

Resolution One refers to issuing shares to cover the merger.
Resolution 3 would indicate the BoD are not 'aligned' with us.
Gaz, all things being equal, the share price of the merged company 'should' IMHO (in an efficient market) reflect the combined market capitalisation of both CERP and BPC.
Worth revising the recent presentation with Simon Potter and Eytan Uliel.
I found the following remarks by Eytan particularly pertinent:

CERP/BPC discussed between approx. 29 and 33 minutes.
To stop the adverts, try using Adblock Browser, or the AdBlock browser plug-in for Firefox.
If the merger is not voted through, then BPC can always mount a takeover, as per the RNS.
You're most welcome IK, and glad you enjoyed it.
And thanks for the cheeky extra kiss ;-)
