An injunction could be applied for, but it would have to be made on existing facts sufficient to halt the divestments. And presumably it will be fought by Flybe.There can be no fishing expedition to try to support the injunction application. The facts, such as we know, have been available for a relatively long time within the context of the sale. A 'late' application on ageing facts would likely be frowned upon. It could happen, but on balance the more time that passes, the less likely it becomes.

We can play with words, but there is a signed agreement, in which each has given undertakings. As such I take the view it is legally enforceable - unless it was, based on false information, or some other defect, in which case one or other of the parties could seek to withdraw.

Why would it not be. But they can withdraw by agreement. But I would have thought the advance of a further £5m may signal their continued agreement. But my thoughts were on Kohn - that the 40% will not come into play until after the divestment backstop date.

It is signed, pending conditions agreed between the two parties, and anything else they may agree ( subject of course to the banks and credit cards, who have made their agreements with Flybe on the basis of the SPA )

The company was for sale in mid-Nov. There were expressions of interest and potential offerors. It seems likely the Connect parties had a look, and then formed Connect in mid-December to close it down between them, sharing the risk and probably minimising the cost.

A judge will act on the facts put before the court, and decide solely whether to halt the disposal of assets.

If Hoskins wants to persuade a judge to issue an injunction, a temporary measure, to stop the deal, an injunction that will seemingly be resisted by Flybe on the grounds it's the only viable deal to prevent administration, and nothing acceptable has come from Hoskings or anybody else, he will have to come up with something historically good. In any case, a judge would be taking a lot on himself.
