Morning everyone

I have messaged the company and Investor Relations to confirm as per last RNS that the audit should be complete by the end of Quarter 2, and by this they mean by 30th June 2025. I have had no response from the Company itself and Investor Relations replied " I have no news at the moment.

Sorry to trouble people but has anyone else had any luck with such a question.

Thank you Crownos. I have found Mr Edwards to be very helpful and informative when he has answered my emails. He appears to be aligned with shareholders and is one of the few Chairman's, in relation to other companies, who has always replied to my questions

Emailed the company last week regarding my concerns over the "Serious loss of Capital" etc.

Received 3 emails back from Mr Richard Edwards very promptly. They were very polite and informative and certainly eased all my concerns. He also reminded me of the following :-

As you are aware, our remuneration is performance related only (we are not taking any salary) so we believe we are fully aligned with shareholders.

It is so nice to have a reply these days from a Chairman when you have concerns.

Serious loss of capital apparently relates to past events.

As per RNS :- " Furthermore, the Directors also consider that the 'serious loss of capital' does not in itself have any specific bearing on the Company's financial position or current performance, and therefore they remain positive about the Company's future."

Can anyone help me with the following :-

It has clearly been stated in previous RNS's that the auditors cannot complete the accounts until end of April 2025.

During this time the company will be accumulating fines for late submission. As they have been late for more than 2 years consecutively, it would appear the fine could be approx £15,000.00.

Will the company be able to get any recompense from the auditors who, they have told us are delaying the accounts.

Any thoughts would be appreciated

Having received the last reply 'Noted' myself, I felt somewhat deflated.

It would just be great to see Pennpetro back trading and the Directors keeping shareholders informed in a regular fashion.

It is now coming up to 7 months since Pennpetro was suspended. We have had very little information from the directors during this time and what information we have received via RNS has led us to believe that previous directors had not been truthful.

It is now becoming an absolute farce that the directors are not updating shareholders.

The below is taken directly from the Gov Uk website as to what directors responsibilities are :-

Company directors in the UK have several legal obligations, including:

Promoting the success of the company for the benefit of all shareholders.

Exercising reasonable care, skill, and diligence.

Exercising independent judgment.

Acting within the scope of their powers.

Avoiding conflicts of interest.

Making sure their personal interests do not conflict with those of the company.

Complying with the Companies Act 2006.

As you are the only link between the company and the directors it would be very nice if you could get them to adhere to at least promoting the success of the company for the benefit of shareholders.

If the company has taken shareholders for a ride and squandered their money, at least have the decency to inform us.

Your help in this matter would be appreciated

There appear to be so many discrepancies regarding previous RNS's posted by the company :-

Per RNS 31 January 2025

We have received confirmation from our auditors that they are unable to complete the audit before the end of April. While this it is less than satisfactory it is a matter outside of the control of the Board of Directors.

As the AGM has been set for the 17th of February 2025, upon advice received, the meeting will be adjourned until such that date as the company is able to present its audited financial statements.

How can you adjourn an AGM before the AGM is going to be held - then hold the AGM and adjourn

Per RNS 20 December 2024

The audit is not expected to be finished until the first quarter of 2025 with the consolidated management accounts only being recently completed. This was delayed due to lack of available financial information regarding the US subsidiaries.The Company is confident that it can resolve all of the foregoing issues and is in active discussions for further funding which will support the restructuring process.The Company is working closely with advisors and will keep shareholders informed of progress.

We then have an RNS on 17 January 2025 to state that the AGM will be on 17 February 2025 when the Directors know accounts will not be ready until end of first quarter.

Per RNS 28 October 2024

Tom Evans. Pennpetro's CEO says; "Frustratingly, the sudden death of Mr Anton Tarkanyi earlier this year really did put undue delays on Pennpetro getting its year end accounts completed and audited in time to avoid the suspension of trading of its shares on the LSE. Mr Tarkanyi was the financial controller for the PPP Group and his sudden passing blocked all access to our UK banking statements. With the extraordinary efforts of Mr Stephen Lunn, our new director, we have now today received the missing bank statements primarily needed to complete our accounts for the 2023/24 year end. The Company are now working closely with our accounts team and our auditors to have the PPP accounts completed and published as soon as possible. The entire board are mindful of the growing frustration of our shareholders on this matter, but I'm pleased to say that we can now see a definitive path forward to getting back on track to having our shares trading again. I can't put an exact time on when we expect the audit to be completed and the accounts to be published, but I can say we are all working hard on getting it sorted as soon as we can now that we are armed with all the information we need."
