The paperwork clearly says this is an AGM. Surely this means that accounts have to be prepared

A company’s articles of association may require the accounts to be “considered” and/or “adopted”. However, the only legislative requirements are for copies of the accounts to be sent to all members and for the accounts to be laid before the members in general meeting.

Is the above correct or am I mistaken.

Any advice welcome

I was not aware until today that the following 3 people were all Directors at GreenXXCorp

Olof Nils Anders Rapp

Thomas Martin Evans

Stephen Gary Lunn

The company was incorporated on 26 February 2021 but only dissolved on 15 April 2025

I expect others were already aware of this but I only discovered last night

Must brush up on my research

I do hope Pennpetro comes back in some form but the Directors are not giving me any confidence

Below is a copy of the only email I have ever received from Mr Lunn dated 18/11/2024 :-

Thank you for your email . I note your concerns . I have addressed and continue to address a number of internal issues that have been overly complex and the Board is actively engaged with its replacement Company Secretary and auditors to finalise the overdue accounts .

The Company will be making further announcements soon to update the shareholders , meantime be assured I have hit the ground running and we are looking to be in a position to end the suspension of trading as soon as possible.

Could you get the Board to confirm that when they said audit was on track to be completed in Q2 in a previous RNS they meant 30th June 2025 as there is some confusion as to when Q2 ends

Hello everyone. Quick update regarding emails sent to Tim Thompson etc.

Just received following from Tim :-

Many thanks for your email.

The covering letter included in the notice that has been sent to shareholders includes the following statement:

“Subject to obtaining authority to issue these new Ordinary Shares, an application will be made for admission of the new Ordinary Shares to listing following the Company's Ordinary Shares return from suspension.”

As part of this application the company will need to get a prospectus approved by the FCA.

Don't the audited accounts need to be issued and circulated to shareholders before the General Meeting ?

Not sure whether that is correct but it what I thought was the case

I also had a similar sort of email when I questioned Mr Evans about certain things. Don' t usually like to copy replies but this is what he wrote to me only a few days ago :-

Thank you for your email.

You’ve rightly observed the recent share price decline following the announcement of our strategic alliance with R42. While we see this partnership as a highly positive and strategic step forward, the short-term share price performance has been disappointing.

As you noted, part of the pressure stems from the exercising and selling of warrants, which we’ve been working to manage carefully. However, another factor we’ve observed is the behaviour of market makers. For example, there have been times when the order book has shown 10 million shares available to sell, with no visible bids to buy, creating the impression of a one-sided market even when actual investor interest may be present.

This kind of imbalance can suppress the share price, creating volatility and uncertainty that are unrelated to the company’s fundamentals or outlook. Unfortunately, these dynamics are not within the company’s control, but they are of course a known feature of sentiment-driven small-cap stocks.

Despite this, our focus remains firmly on execution. We are working closely with Professor Ronjon Nag and R42 to deliver. While we are only at the beginning of this journey, we do anticipate providing further updates as progress is made.

Quick update

No reply received as yet from any of the directors with regard to the email I sent in relation to the audit date. Rather disappointed but not surprised.

Sent a number of questions to another company I am invested with, and the Director replied with the hour. Most impressed.

Don't like to pester Directors as I know they have work to be getting on with, but a simple reply boosts shareholder confidence.

Perhaps if everyone pesters the Directors of Pennpetro they might have the decency to reply or release an RNS.

Email sent to Robert Menzel and Stephen Lunn - Awaiting Response

Dear Mr Menzel and Mr Lunn,

As per the RNS dated 28th March 2025, the date of completion of the audited accounts, had been stated as being on track for completion during quarter 2.

Can the Board confirm this is still likely to be the case and by end of quarter 2 , it is meant as 30th June 2025 as we are well into quarter 2 to date.

Any response from the Board would be appreciated as shareholders have a great deal of patience in waiting for the shares to re-commence trading.

If the 30th June is not the date, then shareholders should be informed.
