(Sharecast News) - Venture Life announced the acquisition of the FemiClear and Curoxen consumer healthcare brands from OrganiCare Nature's Sciences for up to $28m on Wednesday, in a deal aimed at expanding its women's intimate health portfolio and establishing a larger presence in the US.
The AIM-traded group said the acquisition comprised an initial cash payment of $23m, with up to $5m of deferred cash consideration dependent on the brands' trading performance for the year ending 31 December 2026.
The deal would be funded from existing cash resources.
FemiClear addresses gynaecological conditions including bacterial vaginosis, genital herpes, thrush and urinary tract infections, as well as broader vaginal health, while Curoxen provides infection-prevention products for wounds and mouth sores.
Venture Life said the brands had built a strong US presence across major retailers, pharmacies and online channels including Walmart, Walgreens, CVS and Target.
For the 12 months ended 31 March, the brands generated combined net revenue of about $12.1m, up 29.1% year on year, gross profit of $7.5m and contribution of $3.6m.
FemiClear accounted for about 98% of the financial performance.
Venture Life said growth had been supported by new distribution wins, including a launch in Target and range expansion with other retailers, with final-quarter net revenue up 39.7% on the prior-year period.
The group said the acquisition strengthened its position in women's intimate health, complementing its Balance Activ brand and giving it entry into what it described as a $0.7bn US feminine treatment retail opportunity.
It also expected the brands to provide a platform to accelerate sales of other Venture Life products in the US, with revenue and operational synergies expected to build from 2027.
Five employees and one contractor from OrganiCare will join Venture Life, while OrganiCare co-founder and chief executive Caroline Goodner would support the transition as a consultant.
OrganiCare would also continue manufacturing the products under an initial 18-month agreement while Venture Life transfers production to a longer-term third-party manufacturer.
Chief executive Jerry Randall said the brands were "highly complementary" to Venture Life's existing women's intimate health portfolio, margin-enhancing and in strong growth, with confirmed new listings due through the second to fourth quarters of 2026.
"The acquisition brings relationships with key strategic US retailers, a valuable IP set, and a high calibre team that have been instrumental in the success of the brands to date, providing an essential, scalable platform for growth in the US market and women's intimate health category," he said.
Goodner said Venture Life shared OrganiCare's commitment to women's health and that the transaction would help expand the brands' US footprint and bring FemiClear's products to a broader audience.
At 1053 BST, shares in Venture Life Group were up 10.62% at 62.5p.
