(Sharecast News) - Advanced Medical Solutions said on Monday that it is in discussions with TA Associates regarding a possible offer for the entire issued and to-be-issued share capital of the company, following recent press speculation.
In a statement, the board of AMS cautioned that there can be no certainty that a firm offer would be made, nor on the terms of any such proposal, adding that a further announcement would be made "as and when appropriate."
Under the Takeover Panel rules, TA would be required to clarify its intentions by 1700 BST on 16 May.
By that deadline, it would need to either announce a firm intention to make an offer or confirm that it did not intend to proceed.
AMS said the deadline could be extended with the consent of the Takeover Panel.
The announcement placed the company in an "offer period" under the Takeover Code, triggering disclosure requirements for shareholders.
