EXECUTIVE CHANGES: Vectura senior director departs amid takeover offer

(Alliance News) - The following is a round-up of London-listed company director and manager changes announced on Thursday and not separately reported by Alliance News:

Vectura Group PLC - Chippenham, Wiltshire-based inhaled drug delivery devices and asthma treatment Flutiform - Senior Independent Director Thomas Werner steps down from board at annual general meeting on Thursday. Jeanne Thoma is promoted to senior independent director, having joined the board at the end of last year. Vectura on Wednesday said it has agreed to be taken over by Carlyle Group Inc for GBP958 million.

Bodycote PLC - Macclesfield, Cheshire-based heat treatment and thermal processing services - Anne Quinn plans to retire as chair no later than the 2022 AGM. Says a search to find a new chair will now begin. Bodycote also says Thursday that its revenue dropped at the start of 2021, with its Aerospace & Defence unit suffering from reduced production rates.

Serco Group PLC - Hampshire, England-based outsourcing services to governments - Hires Kru Desai as non-executive director, starting October 21. Desai was UK head of Infrastructure, Government & Healthcare Partner at accountants KPMG and also managing director of professional engineering services consultancy Mouchel Ltd, which is now part of WSP Global Inc.

NewRiver REIT PLC - real estate investment trust focused on UK retail and leisure properties - Appoints Colin Rutherford as chair of community pub chain Hawthorn, starting immediately. Rutherford is a non-executive director on the board of NewRiver REIT itself and also a non-executive director of FTSE 250 pub chain Mitchells & Butlers PLC.

Sunrise Resources PLC - miner focused on operations in US state of Nevada and Western Australia - Hires James Cole as independent non-executive director, starting immediately. Cole replaces David Swan, who steps down after nine years on the board. Cole is a chartered accountant who most recently was finance director for Goal Group Ltd. Sunrise also says it will issue 5.9 million shares - worth about GBP14,000 - to Swan, Executive Chair Patrick Cheetham and Non-Executive Director Roger Murphy in settlement of outstanding fees. Cheetham receives 1.6 million of these and now has 234.3 million shares, a 6.3% stake.

Town Centre Securities PLC - Leeds-based property investor and car park operator - Confirms Stewart MacNeill as finance director, having been interim CFO since February. MacNeill joins the board on June 1.

Amati AIM VCT PLC - venture capital trust - Plans to appoint Fiona Wollocombe as a non-executive director later in the year. Wollocombe is chair designate of Kings Arms Yard VCT PLC, Amati notes. As an executive, she worked in equity capital markets at NatWest Markets, part of NatWest Group PLC, and Deutsche Bank AG.

Oxford BioMedica PLC - Oxford, England-based gene and cell therapy - Non-Executive Director Andrew Heath retires from board at Thursday's AGM after 11 years. He previously served as deputy chair and senior independent director.

Smartspace Software PLC - Bury St. Edmunds, England-based workspace optimisation - CFO Bruce Morrison and Non-Executive Director Diana Bartlett both step down from board on Thursday, leaving the company after a short transition period. Kris Shaw, currently financial controller and company secretary, is promoted to CFO, having joined Smartspace at the start of 2019. Also hires Philip Wood as independent non-executive director. Wood is deputy CEO & CFO of AIM-listed financial management software firm Aptitude Software Group PLC.

Resolute Mining Ltd - operates gold mines Syama in Mali and Mako in Senegal - Hires Adrian Reynolds as non-executive director, starting Friday. Reynolds is a geologist who worked for 25 years with Randgold Resources and its predecessors. Reynolds replaces Peter Sullivan, who retires from the board at Thursday's AGM.
