Microsaic Systems PLC - Surrey-based developer of real-time mass spectrometers - Raises GBP2.1 million via placing of 169.0 million new shares with new and existing investors at a price of 1.25 pence each. Says this will be used to satisfy consideration for the acquisition of Modern Water assets from DeepVerge PLC and Innovenn PLC for up to GBP100,000, as announced on Friday last week, and subsequent recommencement of operations and their integration; alongside for general working capital and additional growth funding for the enlarged Microsaic business following the acquisition.

(Alliance News) - Microsaic Systems PLC on Friday said it has agreed to acquire assets from DeepVerge PLC and Innovenn PLC for a total consideration of GBP100,000.

Microsaic Systems PLC - Surrey-based developer of real-time mass spectrometers - Says it is in the process of securing binding conditional commitments to a placing through investments, following a completion of share consolidation and sub-division on Tuesday. "The company's ongoing due diligence with regard to the acquisition and finalisation of the terms of the acquisition agreement continue to make positive progress," Microsaic Systems says. Last week Friday, shareholders voted in favour of consolidating and sub-dividing share capital. Back then, the company said it continued to advance its interest in buying assets and business of the water testing business previously operated by Modern Water.

IN BRIEF: Microsaic signs exclusivity agreement for DeepVerge assets

Microsaic Systems PLC - Surrey-based developer of real-time mass spectrometers - Says it has entered an exclusivity agreement with DeepVerge PLC, a Dublin-based environmental and life sciences firm. The agreement will grant Microsaic a period of exclusivity to purchase certain assets from DeepVerge's Modern Water business. The assets mostly comprise equipment for the lab-based manufacturing of bio-reagents used in related water testing equipment. These included all IP and rights related to the testing equipment including LX, FX and continuous-toxic-measuring machines, and water membrane technology. This exclusivity agreement follows Microsaic's offer to purchase the assets and their rights for a payment of GBP100,00 in cash, payable to DeepVerge upon completion. The exclusivity period runs until January 16, 2024, the signature of a legally binding sale of the assets, or the cancellation of the proposal by Microsaic.

IN BRIEF: Microsaic Sytems says fundraising talks unsuccessful

Microsaic Systems PLC - Surrey-based mass spectrometry equipment developer - Says discussions about potential fundraising have been unsuccessful and begins a "very significant cost reduction exercise" to remain as an operating firm. Says it is likely to make all employees redundant with effect from December 3. Intends to cancel shares from trading on AIM to minimise costs and preserve its cash resources. This comes after Microsaic announced plans in September to raise around GBP1.5 million to GBP2.0 million to obtain sufficient funds to remain a going concern. It was also targeting additional funds, to be principally used on final testing and marketing of new products like its acrylamide detector and ProteinID technology.
