I urge EVERYONE with Sopheon shares to contact their broker ASAP on how to cast your vote. That is, if you want to vote of course. But I would strongly advise to do so, whether you're against or in favour of the bid from Wellspring/Resurgens. Your broker can cast your vote by proxy and there is only a small cost involved.
I personally think it is a ridiculous lowball bid, so I will vote against it. See my initial post for the reasoning behind this.
They will for sure make a higher bid if the initial voting falls short.
The voting requires both a majority in number of voters as well as 75% of total share capital. Because also a majority in number is required even small shareholders can make a difference, as long as we cast more individual votes than the few very large shareholders (the 41% that is already committed to the offer is a large percentage but only a very small number of voters (handful of directors + Rivermore).
Well done to SPE shareholders on probably doubling their money overnight.
This bodes well for Parity (PTY): market cap. £1.91m. at 1.85p, 2022 revenue £40.6M.
PTY's net debt as at 30.6.23 was only £0.7M., and the company was close to EBITDA break-even.
PTY may well currently be considering takeover overtures.
Thanks for your input, with which I agree. Can you, however, how many companies share the sector with SPE? I had always thought that they occupied a fairly small niche, which is part of what attracted me to them many years ago. I’m not trying to undermine your research, I’m genuinely interested in the scale of the sector. Thanks
Sopheon is heavily undervalued in my opinion. ARR now stands at $24.3M. If we apply the sector average ARR multiple of 9.7 (source: https://sharpsheets.io/blog/arr-multiples-benchmark-saas/) this gives a market value of $236M which translates to a share price of $22 (£18).
This would still be a conservative valuation; since the ARR is growing substantially; and Sopheon is financially healthy and debt-free. While that 9.7 average also includes a lot of companies that are not..
And while ARR is a recognized valuation metric for SaaS companies; one could still argue using that specific multiple is cherry-picking. So then let's look at the valuation based on revenue in general. Revenue for 2022 was $36.1M. Sector average revenue multiple is 5.2 (source: https://aventis-advisors.com/saas-valuation-multiples/) -> this results in a market value of $187.72M which translates to a share price of $17.7 (£14).
So that's a 100% - 200% upside potential. And this is short-term, based on 2022 results.
2023 has started with a revenue visibility increase of $5M already; it will undoubtedly yield another substantial growth step.
There are more ways to valuate the company; but no matter which you choose; the outcome will be (much) higher than the current stock price.

Seems like the market hasn’t been convinced of the value of this buyout: $1.5m up front, followed by a further $1.5m in earn outs over 3 years. With Annualized revenue of $1.2m, running costs of $500k, and zero net tangible assets, it doesn’t sound convincing really.
The ROIB team need to demonstrate their worth very quickly - ideally before or when the Full Year’s results are announced on 23 March

Well the little rise is good to see. Back in April the NT has a tp of 800 which we've now passed. Wonder if we can get to £10?
is due for the year just ended. Hopefully this flurry of market activity is a positive marker. This was the Chairman’s Statement back in August, wherein he underlined the company’s resilience in the face of the Covid crisis:

However, our customer base is not immune to the difficulties faced by the general markets. Nevertheless, our solutions remain highly attractive to new and existing customers. This is evidenced by revenues slightly ahead of last year, and by continuing sales traction with a doubling of new customer booking value, including major commitments like our recently announced win at Mondelez International. I think there’s reasonable expectation for good full year results and an improved outlook for the new trading year.

Finally waking up !
Well it seems now to be stuck. No insights into the state of play that I can find.
Well it seems to have turned a bit of a corner, although the spread is ridiculous.
Surprised SPE isn't followed very much here as it's an NT favourite.
Bought on a limit order earlier resulting of course in further falls.
There seems to be a reducing buying interest here which don't help.
For all you holders, don't worry - I'll be stopped out soon then it'll rise again.
Progressive review summarises - Sopheon has this morning announced a major win for Accolade – the global snack food giant, Mondelez. The deal is good evidence that Sopheon continues to win material deals despite the pressures of COVID-19, and that its innovation management platform is genuinely market-leading. We continue to believe that the group will see a return to strength as the market slowly recovers, and see today’s announcement as a useful signal.
And another great step ahead.

From what I've read elsewhere, expecting something this week. Although they may wait for any contract news to provide an update. Certainly would expect something this month, hopefully with a few new contracts to push back up over £10.

Largely due to procrastination, I managed to top up at 745p at the end of last week. Seriously thinking of selling off the UK biased part of my portfolio, but happy to HOLD Sopheon & the rest for the long run.
Impossible to know what the German buyer’s exact start point was for this recent buying spree, since I think it’s at 3% that they must notify the exchange. Nonetheless, accumulating up to 5% is pretty significant, so I would hope to see a price recovery (back up to c£10 would be nice) before Brexit knocks us back down again.
Wish I had added too. RNS today informs that a German Company has acquired just over 5%. Ridiculous price drop in last few months, probably to allow big players to buy in with low limit orders. Must be attractive to many overseas investors, since the demise of sterling.
Price was as low as 655 yesterday morning. Unfortunately I didn't have any funds to top up.
I was also surprised by this big drop too. Over- reaction, profit taking as been said below and panic. Nothing dramatic happened. Sounds a bit funny the statement for a profit warning.
As a long turm holder I do keep my faith in the company. And the RNS says a lot.
May be because the price went up so fast to £14 needed so corrections, but no so drastic though.
davidelliott as my post makes completely clear i was expecting a fall.my feeling,as mirrored by LedZepper,was that the size of the fall was greater than the detail in the RNS would appear to warrant.

I am abroad and could not attend at the meeting. However, as a long term holder all tumbs up. Impressive company with brilliant perspectives . Not bothered at all with this short lived drops. The direction is onwads and upwards supported by figures.
I was one of only two shareholders who bothered to turn up at yesterday's AGM (last year I was the sole attendee). The meeting included an impressive 30 minute presentation on why Accolade is the market leader in its field and why this Company is and will continue to be a substantial cash cow. My attendance gave me all the reassurances needed to continue as a long term investor. Those short term holders looking to profit from constant RNS announcements, spasmodic price movements, or relying on takeover chatter are IMHO wasting their time and should move on to easier targets. Roj1991, if you think it might get taken over, would we then see the SP start to rise. And if so, would it be a small or large increase?
I’ve only got a small holding in this stock, but your opinion is Strong Buy, with the information you have stated, I understand, but i’d like to see a bit of movement before I commit any more.
Undoubtedly - sifted out the short sited profit takers after the results. The figures were upgraded in the trading update, to sell on results when these figures were achieved is ludicrous. I’ve read on other BB that sopheon is prime target for a takeover; that combined with figures being frequently exceeded, new contract wins and an excellent board/management this stock is a major opportunity in my opinion. Rare find on AIM these days. GLA!!
Well it is now on the move. Hopefully we should see it keep going in the right direction.

Its not really a great RNS its a RNS-Reach which means its not material to the company 'yet', so unlikely to trigger re-rate.
Before results it was highly rated and some of the statements in the 'trading' paragraph seemed to indicate a strong 2018 but i felt had a 'tone' that 2018 may have been a stronger than normal year. Shares are now trading on a P/E of around 21 (compared with 30 pre results), i was stopped out but i think at this price are possible good value and strong trading update would see these above £10 again
If you are new to trading i would recommend heading over to StockOpedia, Paul Scott and Graham Neary do Small Cap report (its free) and they review shares in the small cap world.
So with another great RNS, should this now trigger a significant rise in the SP?

Been in the AIM game for a while but never enormously tempted to post on these BB, but on this occasion I had to. This stock is seriously undervalued - people commenting on profit compared to valuation definitely aren’t taking in to consideration the growth potential of this stock and the trajectory it’s on. I will continue to top up at every occasion here and laugh all way to the bank when this hits 1500 in 2-3 months!!
Sometimes a share will over-cook itself. The business can be gaining momentum but it's already priced into the valuation
SPE has a £98m valuation and just recorded a profit of $6.4m for the full year.
Could be a number of things but i always look for price movement upwards the days before the announcement, (like this share).
if the answer is yes then you will find it is common practice that people watch for the peak (usually first thing on results day) and then sell off taking whatever profits they made.Personally i never touch shares that have seen a significant climb prior to results.
Another reason is that the results can look good, but if high growth is expected by the market and not achieved/exceeded the price will go down even though profits have been made.

Technickally the price reached the bottom at about 10.50. That is why it should go up nice and smoothly. IMHO

Previous updates suggest another positive TU, which is due next Tuesday - anything less will probably see SP fall. However, SPE has a great product for an anticipated global recession, as companies still need to maximise profitability even in bad times - Accolade provides such a cloud-based service. Also interested to see if cash pile has increased by year end and whether company can add to its maiden dividend. GLA

£10 mark seems to be abit of a nemesis number at the moment. A lot of resistance. I think with a few market jitters it’s being held back. If you keep exceeding market expectations then surely there will be a time when it just has to excel. I’m not entirely a magician with numbers however I do understand a statement from a company to a certain extent, especially when they exceed expectations. As always, the wind could change directions without notice.
