Plaza Centers N.V. ("Plaza" or the "Company") EUR 20 million Capital Injection for the purpose of THE implementation of the Restructuring Plan Following the Extraordinary General Meeting of the Company held earlier today, at which all resolutions to approve the Rights Offering were adopted, and the subsequent opening of the Rights Offering, the Company is pleased to announce that Elbit Ultrasound (Luxembourg) B.V. / S. à. r. l. ("EUL"), a wholly-owned subsidiary of Elbit Imaging Limited and Burlington Loan Management Limited ("BLML"), an affiliate of Davidson Kempner Capital Management LP, have made an aggregate capital injection of EUR 20 million into the Company by the deposit of funds into a third party account for the account of the Company, of which EUR 12.5 million have been deposited by EUL and EUR 7.5 million by BLML. EUL has taken up the required number of shares immediately following the opening of the Rights Offering and, as part of the capital injection, has, together with BLML, deposited EUR 20 million up front in order to ensure that the capital injection required under the Restructuring Plan takes place before 30 November 2014. The monies have been received and are currently held in the third party account (notariële kwaliteitsrekening) of a Dutch civil-law notary, for the account of the Company. The aggregate number of shares to be issued to EUL and BLML, and the aggregate price paid by them, may be reduced, as a result of other shareholders participation in the Rights Offering and according to the provisions of the agreements between parties, EUL may require that certain number of shares will be subscribed for by and issued to BLML. Notwithstanding the foregoing, the capital injection as a result of the Rights Issue will never be less than EUR 20 million. The determination of number of relevant shares to be issued to each of EUL and BLML and the issuance and settlement of the relevant shares to EUL and BLML will take place following the closing of the Rights Offering. Lol hope u are well and can see why u stay off the RRR board lately , some of the posters there would put future investors off the share! But not me! Why didn't they top slice when the had the chance, yet guess one could say the same with me in Cup! Haha, speaking of cupid do u think we are close? Atb and will be interesting if we see what happens here with plaza , brilliant news as far as I am concerned as the refinancing of the debt was the main concern and now that that has been lifted one should see an increase in the share price .Hope u put the convertible top up on Saturday ! good post Scot78 and I agree there is risk here but look at all the assets they own and if they reach a deal ,which I think they will, then this will fly.just have to be patient ( which is hard for me to do), also like the fact that we are not dealing with another aim mining share here and have actual tangible proven assets that bring dosh in ,have had enough of these aim miners for the time being hahahaha lol. have a great weekend all
Looking at the assets and the revenue coming in from successful projects, I think PLAZ is too big to fail. That said, I'm not going to say that it's without risk as they need to reach a deal. When they do reach a deal, I suspect the price will skyrocket as they'll be in a better position than they were 6+ months ago. I started buying in at around 8/9p and have no intention of taking any of the table until a much higher price is reached, but what do I know.
Having read the RNS etc. and all about the debt restructuring, payment suspensions and limited time period to continue it's business activities I would be interested in anyone's opinion on: a) IS this company in trouble. b) IS it worth investing in or would you be better of waiting until after the creditors meeting on April 17th. ALL opinions good and bad appreciated, I have quite a few high riskers, not sure I want tooooo many more :) Thanks in advance ...
