no-one obviously looked at it after putting the pictures up People cut in half etc, really an example of P155 poor design and implementation
interesting that on here http://octagonalplc.com/investments/ they claim GIS is a qualified intermediary in the United States, isn't that what the whole court case is about
SCHEDULING ORDER: Oral argument, currently scheduled for October 14, 2021, is hereby adjourned until October 25, 2021, at 2:30 p.m.,
Now Oct 14th
NO This purely covers the claims that GIS was operating Illegally in the US by providing share broking etc services without a license.
The issue of taking the company back private would have to be dealt with by a UK court
NO
Does this include the bent premeditated plan to regain control of co after the public listing and cancel the promised dividend and deliberately stagnate the shares banking potential as per the valuable licenses so Gunn and Barbie could run OCT as a private fiefdom with no regard for shareholders

Thank you for sharing, mine are still stuck in Nominee account so I see no paperwork from the company.
Just checked Jan 2021 AGM gave Octagonal authority to buy back 28,428,844 shares and a minimum price of 1p per share.
Good news on the divi front if they can continue paying 0.1p but all subject to legal & regulatory conditions.
It shouldn't take 8 months to sort out a matched bargain facility but I guess they are more worried about SEC investigation than keeping us minnow shareholders informed.
Many Thanks Dickies
I call on richest people in world - the G8 taxpayers- (sorry Vlad!) to immediately close all tax avoidance havens and ban directors based there. The cynical corruption has gone way too far
And maybe they can explain the corrupt premeditated plan by Barby and gun to regain full control of co after listing which was illegal and against shareholder interests, stopped outside interest in a new growth banking co in its tracks so hurting shareholders, renaging on promise to shareholders made by Lenigas that dividends would be paid within months of listing again hurting shareholders. Another corrupt self serving (definitely not serving owners-the shareholders, or country or economy) of tax avoiders who I think it's safe to say will rely on other tax avoiders to try and get them off hook. What these people are doing ever let near getting funds from tax paying shareholders is a mystery. But then again hmq is tax avoiders and performance post 2008/9 deserves an NG grade. Or directors of URA how did Putin's puppets ever get in country let alone running something and then stealing from shareholders. We are relying on co directors to provide capitalistic answers to IE global warming! Most should be in prison. A lot are not independent and are allegiance to their own group which is beyond disgraceful, actually medieval
Why even seek shareholder permission. They don't care about us !
Gunn owns >50% of the shares so he gets whatever he wants
Got some post this morning from Octagonal along with a paper copy of gis annual report For the benefit of those who still hold shares through brokers / may not see:
Consolidated group account due shortly with a GM to follow, one of reasons to seek shareholder permission to create reserves for potential share buy back program
Share buyback - Oct been speaking with 2 orgs about matched bargaining facility - some conditions to be agreed but should be in a position. To implement this for the share buyback in first instance and shareholder to shareholder afterwards.
Oct plan to maintain existing annual dividend policy subject to liquidity etc once group accounts published
Sec complaint - no update
Synergis - made a provision of 537k for this but sounds like as you may expect going nowhere and may look to partner or sell off licenses etc to close it off.
more likely into the pockets of Gunn et al
Page 24 of accounts
Dividends paid 2021 £1.2 million
2020. £600 thousand
Yes I saw this too
I was sure I saw a line in the GIS accounts of £1.2m dividend payment
GIS UK to March 2021 £8.5m revenues.
Cash of £6.2m
No dividend or mention of accounts GIS HK.
Another year then stuck with shares that just sit stagnant.
I guess that depends on what happens with the SEC investigation. There’s $1m set aside in the GIS results for that so depends how realistic that is.
I wouldn’t give up hope just yet - GIS turnover didn’t seem to drop off post the SEC investigation in December even though GIS stopped the services that were in the frame - whether that means the gap has been plugged with other increased income elsewhere remains to be seen.
The next 12 months will tell I guess - along with whether any viable means of trading these is actually delivered as promised.
I am losing hope here in that the profits could go on legal fees defending the same people ripping off the shareholders- does anyone see thing differently?
GIS paid £1.2M dividend presumably that’s gone to Octagonal
OOOuch!
The SEC's complaint, filed in the Southern District of New York, charges GIS with violating the broker-dealer registration provisions of Section 15(a) of the Securities Exchange Act of 1934 and Gunn with aiding and abetting GIS's violations, and seeks injunctive relief and civil penalties.
Wonder how much the fine will be??
