My main concern over this takeover by Integumen is that after the takeover has happened there will be a sale of Modern Water’s membrane division. GB has made it clear in an earlier post that he thinks a small company will not be successful in selling desalination plants. I would have thought that if a sale of this division is to be made then it should be done by Modern Water, not by Integumen. That way Integumen would not be getting Modern Water on the cheap. Timing of any sale is important. With the EU negotiations coming to a head, it must surely be best to wait until next year before a sale is made of the Membrane division. Who knows? the government might think water is a strategic industry for the UK and may wish to subsidise it. I float this as a thought that I would appreciate more experienced people than me to give an opinion on.
Gjbrandon, I hesitate to use the name of that company, and didn't want to on Twitter, but it seems to me that you could be very close to what they were after via a different and better path given the right sensing elements. Good luck to you in whatever paths you take, very interested in where you end up as a company.
@13thMonkey It is interesting you mentioned Theranos. As an engineer, I was fascinated by the concept behind the objective of what Elizabeth Holmes sought to achieve in her Theranos project. If you watched the HBO documentary "Out for Blood in Silicon Valley" you see where there was so many moving parts inside the diagnostic equipment. Moving chemicals and blood samples, assays and contents of pipettes poses a high risk of cross contamination.
A single drop onto another area could undermine all future testing without the inside being cleaned out after each test. Most technology pioneers who set out to create something new, fail, or at best, are held back because they are creating as they go along.
But success is best built on the failures, or failings and mistakes of those gone before. Windows, and Apple user display on their computers. Nokia, Apple, Samsung and Huawei on smart phones.
Integumen's Rinocloud AI system for detecting e.coli in 4 seconds was built on top of collections of sampled water, brought to be laboratory and processed by lab technicians growing bacteria over 24 to 72 hours to confirm that the water source is contaminated.
Modern Water's Microtox equipment use bio luminescent reagents, which lose their brightness if contaminated with a range of virus, toxins and other bacteria to trigger an alarm, confirming the water source is contaminated.
Adding those two elements together is logical. Both work and have done over a number of years.
Looking for a specific target in contaminated water (like SARS-CoV-2) is better if you have a proven virus capturing agent (Affimers from Avacta and Aptamers from the Aptamer Group)
Pulling all three proven technologies together builds on the success, out of failed experiments over years, to get it right.
Theranos sought the Holy Grail, without a map or milestones. Whether it is liquid from water, blood or milk (mastitis), once you have the pieces that already work, then the outcomes becomes more certain.
One final lessons on Theranos. Don't use moving parts that carry liquids, as the risk of drips and spills and cross-contamination lead to one failing that should be overcome with any future solution. We know that lesson is costly, and eliminated it before it became an issue.
Something mentioned today in the mwg video, lots of bacteria detecting different things, reminds of theranos, or at least what is was intending to achieve, lots of analysis, quickly, from a small sample. Is there the possibility of blood being the liquid?
Why does GB need to comment when it’s clear as day in the RNS I posted yesterday. The NOMAD of both PLCs and BoDs would’ve signed off the respective RNSs. I suggest all read the RNSs and twice!
Agree Muggins re serious allegations - perhaps GB might like to comment?
This was posted on the SKIN BB from GB’s twitter account: MWG Shanghai winning sustainability award. https://twitter.com/gjbrandon/status/1301765593587167233?s=19
This, combined with SKIN’s animal free cosmetics testing should make Deepverge an attractive proposition for all the ESG/Sustainability funds out there.
There you go you heard it from the man himself !!
@coolcatcol In shares, no salary.
Can someone remind me how GB gets paid .
I wonder if Gerry Brandon knows who he is .
He/she obviously has a serious grudge and if they sent info not on the public domain I assume they know someone who was connected to the co, maybe worked there and given the reduction in staff have a bee in their bonnet.
Who knows but their knowledge of SKIN is more than a little poor and making those inaccurate statements is bang out of line. I’ll leave it there but they have a clear agenda.
Great day, Re the manufacturing. SKIN gave up some of their increased size new lab for MWG. Don't listen to the shorts.
I agree that he should either provide evidence or withdraw the comments. Normally I would simply dismiss this kind of thing but he does seem to have some detailed knowledge - I recall that he sent another poster detailed information and the recipient confirmed that he did indeed have a lot of information but had a perceived bias.
He’s suggesting they’ve lied in regulated RNSs, both SKIN and MWG. The NOMADs would be in trouble too if this was the case which it clearly isn’t. He should have the decency to retract the ludicrous accusation.
He was right about the sales team leaving in the US so cannot be entirely discounted. Even so I think that these are quite serious allegations and to be taken seriously will require corroborating evidence.
Having re-read the post what an absolute prick. I was being kind. A clear agenda.
Anyone listening to a numpty like that deserves to lose money.
The genius is either too thick to understand RNSs or is trying to deceive in a far from intelligent way. Very transparent and as far from genius-esque as I’ve seen.
more like, wateridiot. Glad to see Muggins happier today...amazing what a lift in the sp does. The merger will go ahead without a doubt...nobody knows better than GB on these boards and you'd be an absolute fool not to back him with whats in the pipeline..that only him and the BOD know about. A great few weeks ahead
You say SKIN can’t manufacture them which is clearly a lie. You’re either a little slow or disingenuous.
Key points if you full RNS was too much -
manufacture and provide logistic support for the Modern Water's monitoring reagent consumables.
Two of those laboratories will be allocated to the production of Modern Water's bacteria reagent. As part of the Agreement, a further three full-time laboratory technicians will be recruited to join Integumen's team of highly skilled scientific specialists in bacteria, virus and toxins.
In addition to production of the bacteria reagents, our AI division is exploring options to develop data analytic tools for Modern Water monitoring equipment, with the potential to add higher-value bolt-on real-time alert services leading to increased revenue per client."
Integumen's superior development and manufacturing capabilities will enable us to rapidly grow our existing network of sales, marketing and distribution channels, delivering the quality of product we are synonymous with, whilst lowering operational costs."
The elephant in the room of the bull****ter on the BB?
Integumen announces that it has signed a three-year revenue-sharing, manufacturing agency agreement ("Agreement") with Modern Water plc ("Modern Water") to manufacture and provide logistic support for the Modern Water's monitoring reagent consumables. The Agreement is for $1.25m (GBP1.04m) per year for 3-years, worth a total of $3.75m (GBP3.12m). The revenue share split is 60% / 40% in favour of Modern Water, after costs, and is subject to rolling 12-month extensions thereafter.
In addition, Integumen confirms a further 100% expansion of its purpose-built product and development laboratories in York, UK, to 6,000 square feet, adding six more laboratory rooms to meet growing demand. Two of those laboratories will be allocated to the production of Modern Water's bacteria reagent. As part of the Agreement, a further three full-time laboratory technicians will be recruited to join Integumen's team of highly skilled scientific specialists in bacteria, virus and toxins.
Gerard Brandon CEO Integumen plc commented:
"We are delighted to announce the continued expansion of our laboratories and to be able to provide European bacteria reagent manufacturing capacity and logistic support to Modern Water's sales, marketing and distribution in the US, EU, China and Japan. This Agreement demonstrates demand for Integumen's services and our capacity to maintain exponential growth regardless of the uncertainties of Brexit or the Coronavirus. In addition to production of the bacteria reagents, our AI division is exploring options to develop data analytic tools for Modern Water monitoring equipment, with the potential to add higher-value bolt-on real-time alert services leading to increased revenue per client."
Simon Humphrey CEO of Modern Water, commented:
"This Agreement is a water-shed moment for Modern Water. We are moving from a self-contained production, sales, marketing and distribution company to a collaborative, cooperation and partnership business model. This immediately gives Modern Water access to state-of-the art laboratories in the UK without the need for capital expenditure. Integumen's superior development and manufacturing capabilities will enable us to rapidly grow our existing network of sales, marketing and distribution channels, delivering the quality of product we are synonymous with, whilst lowering operational costs."
I think it’s pretty obvious most recognise MWG has superb tech and that the management haven’t been able to create a sustainable business model or shareholder value. That seems to be changing and I don’t think it’s a coincidence the new Chairman is having a positive effect.
I’ll be voting for the takeover and am not getting hung up on the £20m or so validation at the time of offer more getting the same number of shares in the larger group albeit a smaller % of a larger pie. I think the pie will grow substantially over the coming months and next year.
An exciting time for both MWG and SKIN holders.
I wonder if anyone else is going to come out and bid for MWG? Or will they wait until the merger is complete and then bid for SKIN, saving them the hassle of making all the synergy related changes/ savings?
Muggins, I agree. How much of the old management team will go forward and how much does this represent the savings they will make on merger?
