It doesn’t give me an option to vote
Need at a minimum 75% of shareholders to vote:otherwise inho this will delist
TF - I'm not completely sure it's a shoe in, but my concern is more that if they don't manage to delist it then they'll need to raise cash, or worse, go bust. Either option is bad news for shareholders and hence me selling out after making some nice profit.
But ATB to those continuing to ride this out.
P
well broker nominee accounts do have the actual voting rights on many different types of accounts not all but generally yes eg High street brokers etc do hold stocks in their own nominee accounts and can vote and exercise that vote how they wish!
Certain types of accounts technically shareholders don’t hold the shares the nominee account does they effectively just have the ‘beneficial interest’. One example could be an ISA etc you’d need to ask your broker to exercise it for you via proxy.
IMHO DYOR GLA BUYTHEDIP
Neil I think what you’ll find is that I said there was no evidence that the CEO/BOD/Directors etc were buying and Mags49 & others claims that they were. There’s been no evidence nothing declared even the day before the meeting. It’s too late now. I think I’ve been proved right.
On all calculated probabilities because of this I have taken a position here. It’s called investing. You have a position too. So
we are on equal footing. They don’t have enough votes to win it especially on a definitive vote where we know shareholders who are not part of the concert party will not vote for the resolution.
IMHO DYOR GLA BUYTHEDIP
If shareholders do not vote their votes won't be counted! Do you think that my broker will vote for me if I don't vote either way?
Everyone read Sharabel end history to see why you should not listen to anyone on these boards.
Unbelievable
2 weeks ago he was saying this was a cert to delist
Pumpky another reminder there’s been
No TR1s at all from anyone
25 million which is 35.8% they said they have is insufficient
Also most private investors have their holdings via broker nominee accounts eg ISA
These are who actually have the voting rights to exercise a vote
If investors haven’t indicated how they want to vote
Obviously delisting is not in the best interest of the shareholders
Therefore I expect imo that nominee account brokers will
Vote against delist.
in my opinion and that’s a very important point here
Worth flagging up
I am out took a large loss dont think I want to lose it all. hope it works out for everyone,I may regret
If all shareholders vote the BOD require 54 million shares however if only 75 % vote they require 40 million:they have 25 million guaranteed:
I received first information from Halifax then nothing about voting.
Misleading spread as it’s way above 3.20
For tiny amounts
To buy see for yourselves
Market makers fudging this
Again
How would any broker know that Mrs Smith(for example) is an associate? They wouldn't! My broker will just send the votes for and against
Have actually got vote paperwork jock…..
Holding its head up
Book about to turn
Can’t buy any volume straight to NT
Again
Pumpky it was you mentioned eg 2 million but
Whatever amount they buy deal and are a
Related party in these circumstances they have to declare
To the market for transparency
Obviously
Perhaps ask for a book on stockmarket for Xmas mate
Do you honestly think anyone is going to check who I am if I hold 2 million shares and vote in favour of delisting?
Even 2 million shares would still not be enough in
Addition
Lol lol lol
Pumpky read the rules any related party acting in concert or a related party
has to declare. Any Director or related board member has to declare any
Dealings of any amount however big or small
You’d think you’d know that by now if you’re such a brilliant
Investor mate
Plenty of companies are struggling to raise funds, unable to find buyers and going to admin. Yes there are a couple who should snap this up in the food industry but probably have said get it delisted cut costs anywhere possible.
SHarebel'They have 35% of Shares in issue Guaranteed already any associate of KD can purchase 2 million shares and stay under the 3% limit and then vote to delist"which inho it will
I’m not sure people who haven’t looked into the price match understand it. So if they need money in next week or two, they maybe locked in. Nobody here has said how a trade would work just that either you sell or sit waiting that it won’t delist, kicking the can down the road.
I wouldn’t at all be surprised if some financial institutions/hedge fund/ii /deep pocket pi makes them a financing offer and this would make the stupid vote unnecessary and pointless as they claim it’s too hard to raise funds in this market. Have you ever had any company even on AIM recently even in a dire market that couldn’t raise small funds. Seriously board!?
The business model is a good one it’s how it has been run imho that’s bad!
IMHO DYOR GLA BUYTHEDIP
Yeah but it’s facts I’m after. I totally agree the idea of voting against a delist. Just think companies always get their way somehow, implying they need it to happen or else.
ALL DYOR - LOT OF THEORIES ON THIS FORUM.
