What is worrying is if they dont get enough votes. Looks like most investors are PIs, how many voted. Guess all will be revealed tomorrow. They have had other AGMs where they have failed to get 50% of the vote.
When it was announced that the company had gone into admin last June, I posted to say that administration could lead us to a better place than the 16p or so when trading was suspended.
What was I hoping for? Going by the company's RNSs prior to administration and the collaborations with big names, I was hoping that having Interpath, an experienced player in restructuring and value recovery, and by putting the 4D data and the 4D IP out in the market, would ensure that 4D would attract suitors, investors and/or lenders. I was less concerned about the type of deal: the important thing would be to have a number of sector players or funds interested in the company and then the right type of deal would emerge. Thus, the mistakes and a certain degree of incompetence demonstrated by the Board and the CEO in particular, in the last couple of years, could have been corrected. Management's incompetence was demonstrated in a number of ways:
- the failure to pay enough attention to the Oxford Finance loan terms they signed!
- the disastrous financial strategy i.e. not raising sufficient funds when they had the chance.
- the unjustified big pay rises in 2021.
- the failure to attract value-adding institutional investors.
- last not least, the way that they handled retail investors (the only ones still supporting the company) in the last stages before suspension of shares. For example none of the questions that I sent at the time were addressed.
However, hopes were vanished: we are stuck with a hedge fund (as opposed to proper institutional investors) and probably with the same management! It is also quite disappointing that after Interpath approached 50 entities in the sector that could have played a role in the future of 4D, we are pretty much where we were except that we now have significant dilution.
Nonetheless, let's look forward though and there are grounds to allow room for cautious optimism. We can pin our hopes on the possibility that news are to emerge soon from the clinical trials. That would be the only catalyst with realistic chances of materialising - the RNS on 10th Nov 22 re oncology is quite encouraging re MRx0518. On the other hand, IBS is unlikely to prove of much value to shareholders. Otherwise, the risk is that the company going into a spiral of further dilutions. Let's see and if only the company had been bothered to give us a proper update on the science front during the administration period!
May still invest in 4d shares in the range 6-8p in the home of making a short-term trade and if the SP climbt o a 2-4x multiple I will sell a major chunk of my holding. There are other and better games in town and DIVERSIFICATION should be a major investment requirement going forward.
When would it go live again??
Junaizz, read the RNS of 30th December. It is a long statement which sets out clearly the position and basically how ordinary PI's can retrieve something providing shareholders vote in adequate numbers. Your stockbroker should have informed you of the vote, most good Stockbrokers have done so. Proxy votes closed at 9.00am yesterday( 14th) The result will be known at 9.00am tomorrow (16th)

They needed support of 50% of shareholders which is what the vote was about and i would say they will secure that. I would be VERY surprised if they didn't.
They then have a meeting and will then confirm to the market the position. It is looking like the stock will relist shortly but face massive dilution with the new shares being introduced. So it might relist at 6p - 8p but could be a lot worse. We will soon know.
We don't know yet what deals can then be done to sell some of the assets off. They claim there was a lot of interest but due to the complexities of the business shares being suspended it was too complicated to deal???
Personally, i had totally written this off anyhow. If it does relist probably worth just sitting on the stock 6 months. IF there are buyers interested in the pipeline assets, deals will get done and the SP improve significantly from where it relists -one things for sure, as the new investors are owning a massive chunk of this business at 6p they will be expecting a return. IF the assets were worth nothing it wouldn't get relisted. That's how i see it anyhow.

I hope you are all well and are having a good start to the year. We'll as much as we can with the terrible news of this company going under.
Guys I was just wondering if you could help me and provide a little clarity. I had some shares in 4d like many of you on here and have not really been on the ball in terms of what's happening due to caring for my grandmother who'd been terminally ill and unfortunately has now passed.
Shares and investing is all very new to me and as far as I know the company has gone under and is no longer trading. Is their anything that can be done or as shareholders have we all lost our investment? I see from some recent messages on here that we could have sent an email but I belive I may be to late for that. Guys I'd appreciate any help or guidance at all, apologies if I sound silly or as if I don't know what I'm talking about but that's because in some sense I don't. This is all new to me. Thanks in advance...
I’ve voted for it as well - through HL. However my optimism is low for the conpany at the monent - and the only reason I voted yes was because we, shareholders, have been put in a situation where there is no alternative.
The nanagement structure needs complete changing - which I hope will happen of it is relisted.

I've just voted this morning through the HL website. It's pretty easy to do. When you go to the "secure message" section you'll notice another section a little further down in relation to shareholder meetings. If you click on that option it then gives you the for/against option and you can vote accordingly.
Just received this morning a message from HL about the vote and advising how to vote which can only be done via the HL website but not their phone app.
You can now vote if you have shares on HL
Sounds like that's a lazy, can't be bothered response from Halifax farsdak. I would give it another shot and insist on speaking to somebody who understands what is involved. Also suggest you have a moan and tell them that other brokers enable people to vote online as their platforms have moved into the 21st century!

F3 that is not the case, 50% + need to vote in favour. If you dont cast a vote, it is NOT counted as a "for" vote by default, be careful
Might have missed it but when will the relisting take place?.
I voted via Barclays today, just give them a call, it was quick and easy for me.
You should have provision to access company documents within the Barclay's portal. If not give them a call and be prepared for a wait!!
