Guys, sorry to be looking for info on here. I have basically given up on my (once) £20k here and about 6 months ago thought I would put some cash into JLP, as I initially did love the idea of Kabwe and what it could do for the town as well as the investment. On the JLP BB someone called DORE123 posted "CB has sold Kabwe", so I came on here to have a look.
Lots of detailed info about the name changes etc but is this how you see the situation?

BMR, on the Watch, had the the hope that BMR Group Ltd may be used for the Royalty but that now seems unlikely especially as BMR Group Ltd is classified as dormant!
Just have to wait and see.

I suspect what happened is that a new company was formed under Kendrick resources to secure the name , as this intention was already in the public domain , it would then stop anyone else taking the name in the meantime.
Once approval was given they merely swapped the names of the 2 company's
I don't think thee is anything un towards happening ,with the name swap at least

Picked up my error in previous post, BMR Group is Limited not plc, although I'm not sure how significant that is.
"Request" (page 1 of the application) for change of name, BMR - Kendrick signed by company secretary, although signature illegible, "request" (page 1 of the application) for change Kendrick - BMR signed by D & A Nominees Limited.

Cardo, that sounds bonkers. Surely we can't have changed to Kendrick and then back again to BMR Group PLC.
It's true 3card, the more subsidiaries, the thicker the smokescreen. It's difficult here especially, but that's also because we aren't listed any longer, Bozzer and now Bird telling us virtually nothing since. I guess most of us wrote this investment off when we lost the AIM status but it would be nice to see a little bit of justice delivered for shareholders. I hope the duffers who have brought us to this point somehow slip up and get their comeuppance.

There were two meetings, an AGM and a GM, on the same day. The name change was a resolution re the GM, the results, 28/08/2019, indicate the AGM all res passed, second para (below) suggests GM did not take place.
"At the General Meeting held at 1:30pm on Friday 23 August 2019, following the discussion of a
proposal reached between the Company and Jubilee Metals Group Plc relating to the distribution
of the net returns from the Kabwe project, the meeting was adjourned with further notice of the
adjourned meeting to be given to shareholders as soon as practicable."
Any clearer?

There is so often a myriad of connected subsidiaries with different bits of the pie spread among them. Makes it easier to hide the truth from gullible PIs I guess, me included

It's raining so no outdoor play!
Looking through the Kendrick/BMR web site came across a circular dated 31st July 2019 which amongst other things changed the name "BMR Group plc" to "Callisto Resources plc". Assuming this happened, no reason not to, Callisto Resources plc was dissolved tomorrow! See companies house records. With the resurrection of BMR Group plc, which CB apparently knows nothing about, is it worth a little more exploration? Borelli and Ronaldson were involved with Callisto, Ronaldson resigned, but is now the only person related to BMR Group plc! CB was a director of BMR Group plc but I don't know if that continued to Callisto Resources plc.
If a Royalty Agreement exists, is it with BMR Group plc (old), Callisto Resources plc or BMR Group plc(new) or BMR/Kendrick?

Trust me Eric. You will never see the royalty agreement. Will be in a sealed envelope marked CONFIDENTIAL and only to be opened once finally agreed and implemented, ie, NEVER
Good point Fireball. We should be able to see a copy of the Royalty Agreement, if only to prove that one does exist.

Trouble is the conflict of interest with BIRD at the helm is very apparent and that conflict took place under AIM rules.
Hi BMR, surely we can request a copy of the Royalty agreement from somewhere@ There must be some time limited conditions and the agreement included all metals processed at the plant, now Sable, so we have an interest in the copper or so the RNS's said, included offtake and other processing. Are the clowns going to try and dupe us, that lot are very economical with the truth. They said they were building the Zinc line followed by V and PB in the plant.
JLP Zambia update today, specifically and only copper, therefore no mention of Kabwe. Interesting a number of chats refer to Kabwe!
Pursuit, thanks for the link Richemondo. Just read page 7, top section. I thought we were broke, so who has paid the costs to date and the ongoing maintenance costs? The Prospectus should be interesting as to where the rest of the money is coming from!

A ray of hope .. Pursuit are reporting Kendrick's purchase as still underway- option of $110000 aus paid 15th March, expires 30 September. We just need to list on main market and raise working capital. Let's hope they don't sell or put in hock our royalty. Jubilee seem to be dragging their feet on Kabwe. Despite being a JLP shareholder I would be outraged if this had nefarious intent..

It's a pity that we can't get Panorama involved Cardo. Who has the time to untangle our mess though, right back to the very beginning. Very tricky to do.

Yes, apologies for the typos – “prospective” should read “prospectus”. The project assets will be reversed into Kendrick PLC then floated on AIM. It's classed as a reverse takeover.
CPR is a Competent Persons Report – “A Competent Person's report is an independent, technical and geological focused report of a project. The aim of a CPR is to provide a responsible, unbiased and independent opinion on the technical aspects of the project, with the ultimate purpose of informing and protecting investors.”
It’s unlikely that we will see any updates via Twitter until they are ready to call a GM for the approval of the deal with Pursuit. We remain frustrated with the amount of time things are taking and the lack of transparency regarding the Royalty.
Say good bye to the Royalty, it was unlikely it was ever going to happen, now we know!
Who is paying all these costs re Pursuit cos I thought we were broke?
