Tricky,
Basement bargain deals are fine, as long as you buy something worth buying. If you buy a pig in a poke, it doesn't matter how inexpensive one thinks it is. Due diligence is key, and our fearless leaders showed a lack of due diligence when they bought R1 given the price they paid. Their track record is not that hot from where I sit.
Yes, I am changing my mind about them. It all started with those comp packages they voted for themselves. I pray I am wrong about them, but they need to prove me wrong. I'll be thrilled to admit my skepticism was ill placed.
doggy,
I have no qualms about basement bargain deals.
Nothing negative about that in my book at all.
Tricky,
Good luck to them means good luck to us.
doggy,
It does seem like Tremor are not averse to scavenging out rescue cases to turn around.
R1, Unruly, and now Amobee.
Good luck to them if they can find a diamond on skid row.
Tricky,
I don't know for sure how it would work, I don't have time to find out, so what I am about to say is meaningless: I imagine it would have to go through the board, and, depending on the size of any deal, it may or may not have to go to a shareholder vote.
There are others here who either know or will take the time to find out and tell us. Looking forward to hearing from them.
doggy, et alii,
Any proposition by Ofer would need shareholder approval?
SNN, I wouldn’t be averse to Tremor raising some debt, especially against the backdrop of Tremor’s earnings potential from this deal and the cash pile that they already have on hand (and growing). Probably the better solution really in this case.
Radium, SNN, Tricky, et al.,
I mentioned this once before. Maybe, just maybe, our fearless leaders have grown some brains and will follow the PERI model: 33-40% cash down, the rest as earnouts providing the new entity performs as promised.
If this were to happen, and if the earnouts were paid from cash generated by operating activities, this will mitigate further dilution.
The problem is the second above sentence...the part about our fearless leaders growing some brains.
Quite Radium. As said, huge dilution, assuming the balance is shares ... ... TRMR may borrow the other half of the purchase cost - that'll be my preference. But there has been large volume of late on aim, and the sp has dropped heavily ... perhaps on leaks of this deal???
Hopefully, it'll conclude in time for the start of the second half of the year.
Radium1,
It perhaps depends whether Singtel are prepared to be tied in for a set period of time, say 18 months, before they can sell the shares.
Whether a hefty 16%+ dilution lowers the sp immediately and what effect that has.
Extract...Sky News said Tremor is reportedly using "little more than a quarter of the US$452 million of cash it has on its balance sheet". Which brings me back to my earlier post ...re, If the cash element of the deal is fixed, then the number of dormant shares to be issued for the remainder must increase as Tremors share price declines thus leaving Singtel with a larger and sizable % of the new total shares in issue. Could be 16%+ thus weakening the clout/impact and influence of our current bunch of large shareholders. At £3.50 a share, Singtel will have already worked in the growth potential here of their holding. Just a thought.

Gives indications of Amobee's quarterly revenues. Seems to indicate a decline in the last 6 months or so. Figures given appear to be gross ad spend.
doggy,
There is a now trend to concentrate on using first party data instead of cookies.
Google state:
'Our latest tests of FLoC show one way to effectively take third-party cookies out of the advertising equation and instead hide individuals within large crowds of people with common interests.
Once third-party cookies are phased out, we will not build alternate identifiers to track individuals as they browse across the web, nor will we use them in our products'.
Perion intend to use 'Sort' to gather information that has been directly obtained from the audience through their activities, behaviors, and interests on the website, i.e. first-party data.
As for 'Blockchain' I have not quite grasped the mechanism of this relatively new type of database.
They started the blog on 20 June. I realize it's not TRMR, but it is germane to everyone invested in this sector. Unless, of course, one prefers to have their head buried in the sand.
