BPC RNS just out...
Bahamas Petroleum, the oil and gas exploration company with significant prospective resources in licences in The Commonwealth of The Bahamas, is pleased to announce that at the Company's Annual General Meeting held earlier today, all resolutions were passed with the exception of Resolution 3.
Resolution 3 had proposed the expansion of the Company's available pool of employee options for future allocation at the discretion of the Board. Those employee options had been proposed with performance hurdles linked to delivery of value-creating business objectives, an exercise price in excess of the current share price, and a resultant aggregate employee share pool of less than 8.5% of the Company's fully diluted share capital. In the Board's view, this thus constituted an entirely normal employee option proposal, designed to align the interests of employees with shareholders, and comparable to arrangements in place at many similar companies. It is for this reason that the Board had unanimously recommended Resolution 3 to shareholders. Acknowledging the lack of shareholder support for this resolution at this time, the Company will seek to develop alternative incentivisation strategies, so as assist in ongoing processes to recruit, incentivise and retain high-quality employees.

Yes, it will be clear to them by now whether the minority was in fact large/determined enough. With the likes of bigmj towing the line (as far as I am aware), it was always going to be quite a mountain to climb. It looks to me as if the CERP BoD have successfully sold CERP’s shareholders down the river. You can either buckle down and do the work or punt it all on the 5:30 at Kempton Park. It seems that Leo and Co. are off to the races. With other people’s money.
Remember if YES voted BPC matters know looking very good - 0.803/1 share yes but the shareprice is gathering pace and merger will be great for all concerned. GREAT TIMES AHEAD
It is very likely the BPC BoD (and CERP BoD) already have indicative voting results based on institutional investors feedback and retail nominee providers such as HL/II/Halifax etc having already provided the data yesterday. This is not the Oscars' ceremony whereby a seemingly excited celebrity opens a secret envelope and announces the result within 30 seconds.
The results of the 2019 BPC AGM was RNS'd at 13:34 on 17/9/19. We all await news, some of which potentially may leak within an hour of the 1000am meeting as indicated by SP movements.

“Right to Appoint a Proxy; Procedure for Appointment
Holders of Scheme Shares entitled to attend and vote at the Court Meeting may appoint another person or persons, whether a member of the Company or not, as their proxy or proxies, to exercise all or any of their rights to attend, speak and vote at the Court Meeting. We recommend that you appoint the Chairman of the Court Meeting to be your proxy. It is strongly urged that you to follow the UK Government instructions in respect of the evolving situation regarding COVID- 19 and the restrictions on social contact, and public gatherings. It is expected that the Company’s attendance at the Court Meeting in person will be limited to the number required to satisfy the requirements for quorum. The Court Meeting will end immediately after the formal business. Any Columbus Shareholder that attempts to physically attend the Meetings will be refused admission in order to comply with the UK Government public health instructions.
A pink Form of Proxy, for use at the Court Meeting, is enclosed with this notice. Instructions for its use are set out on the form. It is requested that the pink Form of Proxy (together with any power of attorney or other authority, if any, under which it is signed, or a duly certified copy thereof) be returned to the Company’s Registrars, Share Registrars, The Courtyard, 17 West Street, Farnham, Surrey, GU9 7DR, by post or (during normal business hours only) by hand, so as to be received by the Registrars not later than 10.00 a.m. (London time) on 23 July 2020 or, in the case of an adjournment of the Court Meeting, 48 hours (excluding non-working days) before the time appointed for the adjourned meeting. However, if not so returned, Forms of Proxy (together with any such authority, if applicable) may be handed to the Chairman of the Court Meeting before the start of the Court Meeting. However, as physical attendance at the Court Meeting will be refused in order to comply with the current UK Government public health instructions, you are strongly encouraged to return the pink Form of Proxy by the time noted above.”

Can anyone advise when the deadline is/was for voting on the merger please? I checked my Halifax sharedealing account last night and was expecting to see some instructions on how to vote but nothing...
I'Ve not been monitoring the bb for a while so suspect I've missed it. If I have, what happens? Does it just not register either way or my share allocation go with the BOD recommendation?

Is it correct that 75% or more of the votes cast at the Court Meeting are required to approve the Scheme? And if that is correct, is there not scope for a determined minority to defeat the Scheme (though BPC might then try the takeover route) and at least try to reinstate something more like the original road map, perhaps addressing funding issues by giving PRD what they so obviously want? Presumably most of the BoD would in that event do the decent thing and resign so that they could be replaced by directors who would commit to the original road map (or something like it).
Would it be worth trying to tally on here how many votes have already been cast against the Scheme?

Just phoned Halifax share dealing to inform them of my vote from both BPC and Cerp and they told me there is no action needs to be taken. No vote to cast?
