HALMA p.l.c.TRANSFER OF SHARES HELD IN TREASURY

Halma p.l.c. announces that on 01 April 2009 it transferred 52,771 ordinary shares held by the Company in Treasury in satisfaction of awards to a former employee of the Halma Group under the provisions of the Company's Performance Share Plan.

Following the above transfer, the Company holds 1,438,837 ordinary shares in Treasury. The total number of ordinary shares in issue (excluding treasury shares) is 373,951,840.
