TRANSFER OF TREASURY SHARES

In accordance with the provisions of Listing Rule 12.6.4, the Company hereby notifies you that on 11 June 2012 it transferred 18,962 Ordinary shares held in Treasury to one participant (non-PDMR) to satisfy the maturity exercise of options at 69p per share under the Hays plc International Sharesave Scheme.

Following this transfer, Hays plc holds 74,600,985 Ordinary shares in Treasury. The number of shares in issue is 1,389,495,581 (excluding treasury shares).
