Transaction in Own Shares

Tate & Lyle PLC (the "Company") announces that it has purchased the following number of its ordinary shares of 25 pence each on the London Stock Exchange through Royal Bank of Scotland plc:

Date of purchase: 8 December 2011
Number of ordinary shares purchased: 250,000
Highest purchase price paid per share: 690.50p
Lowest purchase price paid per share: 684.00p

The Company intends to hold these shares in Treasury to satisfy awards made under performance share plans.

Transfer of Treasury Shares

The Company also announces that it transferred today at nil cost 5,374 ordinary shares in the Company for the purpose of satisfying exercises under the Tate & Lyle 2003 Performance Share Plan. These shares were previously held in Treasury.

Following the above transactions, the Company holds 792,365 of its shares in Treasury and has 467,358,301 ordinary shares in issue (excluding treasury shares). This number represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Tate & Lyle PLC under the FSA's Disclosure and Transparency Rules.
