Transaction in Own Shares

Debenhams plc (the "Company") announces that on 03 May 2012 it purchased 583,000 of its ordinary shares of 0.01p each through Merrill Lynch International at an average price of 84.8493 pence per share. The highest and lowest prices paid for these shares were 85.7 pence per share and 84.3 pence per share respectively. The purchased shares will all be held as treasury shares.

Following the above purchase, the Company holds 4,865,147 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) is 1,281,941,152.

The total number of voting rights in the Company, excluding treasury shares, as at 03 May is 1,281,941,152. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Debenhams under the FSA's Disclosure and Transparency Rules.
