In conformity with the FSA's Disclosure and Transparency Rules, Cello Group plc ("Cello" or the "Company") confirms the following:

As at the close of business on 31 January 2014 Cello's issued share capital consisted of 83,569,262 ordinary shares of 10 pence each ("Ordinary Shares"). The Company holds 453,000 Ordinary Shares in treasury. The total number of current voting rights in the Company is therefore 83,116,262 Ordinary Shares.

The above figure (83,116,262 Ordinary Shares) may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FSA's Disclosure and Transparency Rules.
