ICAP PLC18 December 2006 ICAP plc Voting rights and capital In conformity with the Transparency Directive's transitional provision 6, wewould like to notify the market of the following: ICAP plc's capital consists of 648,469,298 ordinary shares each with votingrights. ICAP plc holds 2,000,000 ordinary shares in Treasury. Therefore the total number of voting rights in ICAP plc is 646,469,298.
