Total Voting Rights

Marshalls plc ("Marshalls" or the "Company") would like to notify the market that:

Marshalls' present issued share capital consists of 199,378,755 ordinary shares of 25p each ("Ordinary Shares"). The Company holds 2,425,000 Ordinary Shares in treasury.

Therefore, the total number of voting rights in respect of Marshalls' Ordinary Shares (excluding treasury shares) is 196,953,755.

The above figure (196,953,755 Ordinary Shares) should be used by shareholders as the denominator to determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules. This notification regarding the Company's issued share capital is not as a result of a further allotment of shares in the Company but due to an earlier oversight.
