TOTAL VOTING RIGHTS AND SHARE CAPITAL

The following is released in accordance with DTR 5.6:-

As at 31st October 2014, Debenhams plc's capital consists of 1,286,843,441 ordinary shares of 0.01p each. The Company holds 60,708,721 ordinary shares in Treasury.

Therefore, the total number of voting rights in Debenhams plc is 1,226,134,720. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Debenhams plc under the FCA's Disclosure and Transparency Rules.
