Total Voting Rights

As at close of business on 28 August 2008, the Company's share capital consists of 32,139,435 ordinary shares of 25p each ("Ordinary Shares") with voting rights. No Ordinary Shares are currently held in treasury. 

The above figure (32,139,435 Ordinary Shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Thomson Intermedia plc under the FSA's Disclosure and Transparency Rules.
