Voting Rights and Capital

In accordance with the FCA's Disclosure and Transparency Rule 5.6.1R the Company would like to notify the market of the following:

As at 31 December, 2015, the Company's share capital consists of 210,448,922 Ordinary shares of 0.1p each, of which 568,409 were held in Treasury. Therefore, the total number of voting rights in the Company was 209,880,513.

The above figure (209,880,513) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Ecofin Water & Power Opportunities plc under the FCA's Disclosure and Transparency Rules.
