Total Voting Rights and Warrant Update

As at 28 February 2018, Premier Oil plc's issued share capital consisted of 767,931,176 Ordinary Shares of 12.5 pence with voting rights. Premier Oil plc does not hold any shares in Treasury.

The figure of 767,931,176 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Premier Oil plc under the FCA's Disclosure and Transparency Rules.

To date, the Company has allotted 12,297,493 Ordinary Shares as a result of the exercise of equity warrants, representing 1.60 per cent of the Company's enlarged share capital.

As at 28 February 2018, 13,762,696 warrants have been exercised on a cashless basis and a further 8,272,332 warrants have been exercised in cash.
