Aga Foodservice Group plc (the "Company") Voting Rights and Capital

As at 30th April 2008, the Company's capital consists of 115,340,399 ordinary shares of 28 1/8 pence with voting rights. The Company does not hold any shares in Treasury.

Therefore, the total number of voting rights in the Company is 115,340,399.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
