Imagination Technologies Group plc ('Company') Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision 6, Company is required to notify the market of the following:

Company's capital includes 263,243,876 ordinary shares with voting rights. None of these ordinary shares are held in Treasury.

Therefore, the total number of voting rights in Company as at 03 February 2012 is 263,243,876.

The above figure of 263,243,876 shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Company under the FSA's Disclosure and Transparency Rules.
