In accordance with DTR 5.6.1 Debenhams plcs' capital consists of 882,825,016 ordinary shares of 0.01p each with voting rights. The increase of 8,054,691 relates to the issue of shares in lieu of the 2008 final dividend. The Company does not hold any shares in Treasury.

The total number of voting rights in Debenhams plc is 882,825,016.

The above figure (882,825,016) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Debenhams plc under the FSA's Disclosure and Transparency Rules.
