Novae Group PLC18 December 2006 Novae Group plc 18 December 2006 Voting Rights and Capital In conformity with Transitional Provision 6 of the Transparency Directive, NovaeGroup plc ("the Company") is obliged to notify the market of the total votingrights in the Company's traded securities. The Company's capital consists of 732,213,456 Ordinary shares of 10 pence eachwith voting rights and 50,000 redeemable preference shares of £1.00 each whichcarry no voting rights. The Company does not hold any Ordinary shares inTreasury. The total number of voting rights in the Company is therefore 732,213,456. Thisfigure should be used by shareholders as the denominator for the calculation bywhich they will determine whether they are required to notify an interest in, ora change to an interest in, the Company under the FSA's Disclosure andTransparency rules.
