Statement re Change of Paying & Transfer Agent

NOTIFICATION REGARDING A CHANGE OF PAYING AGENT AND TRANSFER AGENT 

in relation to the SANTANDER UK PLC and

SANTANDER UK GROUP HOLDINGS PLC (each "an Issuer and together the Issuers")

€30,000,000,000 Euro Medium Term Note Programme (the "Programme").

The Issuers hereby announce that with effect from 27 April 2018, Citigroup Global Markets Deutschland AG has resigned as Additional Paying Agent and Transfer Agent in relation to the Notes issued pursuant to the above Programme and has been replaced by Citibank Europe plc. For the avoidance of doubt, Citigroup Global Markets Deutschland AG's appointment as Registrar in relation to the Notes issued pursuant to the above Programme shall continue in full force and effect.
