ROC MERGER WITH ANZON ENERGY LIMITED ("AEL") EFFECTIVE

ROC TAKEOVER OFFER FOR ANZON AUSTRALIA LIMITED ("AZA")

DECLARED UNCONDITIONAL

The Scheme of Arrangement ("Scheme") to implement the merger of ROC with AEL, approved by the Federal Court on 5 September 2008, has today been lodged with the Australian Investments and Securities Commission. As a result the Scheme is Effective as at 8 September 2008.

A copy of the notice in relation to the off-market takeover offer for AZA which confirms that the condition of the offer relating to the Scheme has been fulfilled, and the balance of the conditions have been waived is available on ROC's website at:

http://www.rocoil.com.au/Public/Investor_Centre/Announcements.aspx. 

The Takeover Offer for AZA is now unconditional.

The Takeover Offer is currently scheduled to close at 7.00pm (AEST) on 6 October 2008 (unless extended).
