INTU DEBENTURE PLC (THE "COMPANY") ANNOUNCES THE RESULTS OF A MEETING IN RELATION TO THE £354,876,000 5.562 per cent. First Mortgage Debenture Stock due 2027 (the "Stock") issued by THE COMPANY

Capitalised terms used in this Announcement and not otherwise defined shall have the meanings given to them in, or incorporated by reference into, the Notice of Meeting (as defined below), unless the context otherwise requires.

Announcement of the results of the Meeting

The Company announces today the results of a meeting convened for holders of the Stock to vote in respect of the Extraordinary Resolution to, among other things, approve the release of the Escrow Transfer Amount from the Mortgaged Property to be transferred into an escrow account held on trust for the benefit of the Stockholders, to approve the entry of the Company into the Capital Sum Release Documents and to approve certain modifications of the Trust Deed, each as set out in the notice of meeting prepared by the Company and dated 29 June 2020 (the "Notice of Meeting").

Notice is hereby given to the holders of the Stock that at a meeting of the Stockholders convened by Notice of Meeting and held on 23 July 2020 at 10:00 a.m. (London time) at the offices of Linklaters LLP, One Silk Street, London EC2Y 8HQ and by telephone conference, the necessary quorum was achieved and the Extraordinary Resolution detailed in the Notice of Meeting previously notified to the Stockholders in accordance with the terms of the Trust Deed for the Stock was duly passed.

The proposals set out in the Notice of Meeting (including the execution of the Capital Sum Release Documents) will be implemented as soon as practicable.
