Result of General Meeting and Issue of Equity 

Personal Group Holdings plc, a leading provider of employee services in the UK, announces that the resolution put to Shareholders today at the General Meeting in connection with the proposed acquisition of Innecto People Consulting Limited was duly passed, enabling completion of the Acquisition.

In addition, application has been made to AIM pursuant to the issue and admission to trading on AIM of 299,237 and 31,451 Subscription Shares subscribed by Deborah Frost and Justine Woolf, respectively, each at a price of £3.48 per share. It is expected that Admission will occur on 28 February 2019.

Following Admission, the Company's issued share capital will consist of 31,219,207 Ordinary Shares with voting rights. This number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
