RESULT OF GENERAL MEETING AND ISSUE OF EQUITY

Further to the Company's announcement of 30 April 2009 in relation to the conditional placing of 10 million new ordinary shares of 5p each (the "Placing Shares ") at 28p per share (the "Placing"), Empresaria is pleased to announce that at its General Meeting held earlier today, the resolution with respect to the Placing was duly passed by the requisite majority.

Application has been made to the London Stock Exchange plc for the admission to trading on AIM of the Placing Shares and dealings are expected to commence on Tuesday 19 May 2009. 

For the purposes of the Financial Services Authority's Disclosure and Transparency Rules, following the admission of Placing Shares described above, the total number of ordinary shares of 5p each in the Company will be 44,276,721. 

There are no shares held in treasury and therefore the total number of voting rights in the Company will be 44,276,721. 

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
