Result of AGM

Premier Foods plc announces that at its Annual General Meeting (AGM) held today, 22 May 2009; all resolutions were voted on by way of a poll and were passed with the required majorities.

In accordance with Listing Rule 9.6.2, two copies of the resolutions passed as special resolutions have been submitted to the UK Listing Authority and will be available for inspection at the UK Listing Authority's Document Viewing Facility which is situated at the Financial Services Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS.

The special resolutions approved at the AGM were:

Authority to purchase Own Shares;

Authority to make Political Donations; and

Authority to hold general meetings on 14 day's clear notice.
